Goodrich Co. yesterday declared a quarterly dividend of $1.25 a share on the new $5 cumulative preferred stock. Under the recapitalization plan each share of 7 per cent cumulative preferred stock has been changed into one and one-fourth shares of new § per cent senior stock and one-half share of common. T. 2 | Morris, president of American Chain Co, in a letter to holders of the $7 preferred stock today announced an of- fer for exchanging holdings into new $5 preferred stock on the basis of 1!} shares of the new convertible pre- ferred for each share of the old $7 60 1» | preferred, including accrued and un- paid dividends on the latter. The new preferred is redeemable at 105 and accrued dividends. The let- ter said the company proposed to call for redemption at $110 a share and accrued dividends all of the $7 pre- ferred not so exchanged. The exchange offer expires Sep- tember 30, next.
