Reveals “Mutualization,” Consolidation Plans. BY the Associated Press. NEW YORK, December 16.—Na- tional Investers’ Corp. big investing company identified with Buffale and Detroit financial interests, and its three principal affiliates announced today plans for “mutualization” and consolidation to take advantage of | provisions in the Federal revenue act of 1936. The move held wide interest for ‘Wall Street as the first of its kind for a Jarge management type of trust of the “closed” variety. Many believed it might indicate a swing of investment managers to the “mutual fund” form. The affiliates, which will be merged with National Investors as the second step in the plan, are Second National Investors' Corp., Third National In- vestors’ Corp., and Fourth National Investors’ Corp. “mutual fund” set-up provided in the revenue law, which affords advantages over other forms of organization. is that the company agrees to buy back | its shares from. holders on reasonable notice at a discount of not more than 3 per cent from liquidating value. Each of the four concerns, which have combined resources tualized, the plan provides, and then ali will be merged into a single unit of the mutual type. Stockholders of the three affiliates will be asked to approve mutlazilation at special meetings called for Decem- ber 29 and to act on sale of their assets to the new merged company at another meeting January 12. On December 29 shareholders of Na- | tional Investors will pass on the plans of affiliates, since National is a very substantial holder of each of the other three.
