PLAN IS OFFERED BY PIERCE-ARROW Vote Called September 2. Bid to James A. Farley Still Talked. By the Assoclated Press. NEW YORK, August 17—Stock- holders of the Pierce-Arrow Motor | Corp. will be asked on September 2 | to consider a reorganization plan call- ing for formation of a new corpora- tion and the ralsing of $10,700,000 new capital. The purpese of this action was de- scribed in a letter from the manage- ment to stockholders as being to pro- vide new equipment, plant rearrange- ment, working capital and other re- | quirements for the firm to enter the | medium-priced field with a line of | cars selling from $700 to $1,000. The plan provides for a new corpo- | ration to acquire assets of the pres- | ent company with one share of new stock exchangeable for two shares of | the present preferred or five shares of the present common. It also is proposed that 1,300,000 shares of new stock be offered for public subscription at $10 a share. About 200,000 shares would be is- sued for the assets, some of these | going to banks for cancellation of out- standing mortgage notes amounting to | $1,250,000. Warrants to purchase 101,000 shares at $10 a share up to September 30, 1940, would be issued to underwriters handling the stock | issue and to “others for services in | the reorganization.” The company letter stated that a man “of national importance will be invited to become the executive head of the new corporation.” Before tpe letter was sent out the Buffalo (N. Y.) | Evening News had published a report that Postmaster General James A. Farley had been asked to become the | executive head of the company and | that Farley refused to affirny or deny the report. A. J. Chanter, president of the | company, asked about the Farley re-‘l port, said: “You'll have to ask Mr. Farley.” DIVIDENDS ANNOUNCED | NEW YORK. NEW YORK, August 17.—, brisk battle appears in prospect in Stock Exchange circles over the proposed amendment, now before the Governing Committee of the New York Stock Exchange, to boost minimum brokerage commission rates 30 per cent, Wall Street circles said today. The two camps are divided into the large brokerage houses which favor the increase and the smaller firm., floor brokers and odd-lot dealers who | are prepared to fight the measure to the last ditch. It 1s possible that the amendment will come up for vote before the Stock Exchange membership around Sep- - | tember 1. There are 1,375 members, and under the rules of the Exc hange | 350 negative votes would serd the amendment back to the Governing Committee. Wall Street men said that in gen- eral the large brokerage houses and the firms with extensive out-of-town | connections would favor an increase in | brokerage commission on the ground this would increase revenues On the other hand, the small bro- kerage firms, floor traders and odd-lot dealers are against the increase. Thay. fear, it is said, that an increase would tend to dry up trading and reduce business.
