BY the Associated Press. PHILADELPHIA, December 7.— Federal Judge Oliver B. Dickinson re- ferred to a special master today the question whether the Baldwin Loco- motive Works must honor common stock purchase warrants on its 5-year consolidated mortgage bonds. Cohen, Simonson & Co. of New York last week asked the court for an order directing the company to de- liver 600 shares of common stock. The company stated Baldwin refused the shares after 15.purchase warrants and $3,000 in cash had been tendered it. Counsel for Baldwin told Judge Dickinson today allowance of such an order might seriously disturb plans for reorganization of the Baldwin Locomotive Works under section 77-B of the bankruptcy act. Judge Dickinson referred the ques- tion to Howard Benton Leaf, who has been acting as master in the reorgan- ization proceedings. Goodrich, chairman of the board, of details of the sale by the company of the re- cently marketed issue of $27,000,000 face amount 4% per cent first mort- gage bonds. Executives of investment banks, bond “houses and others in financial circles safd that so far as they know, the letter—frankly revealing the net proceeds to the company from the issue and the uses to which the money will be put—is the first of its kind ever to go to the stockholders of a major corporation. The letter revealed that the $27,- 000,000 bond issue was sold to the banking group headed by Goldman Sachs & Co. at 98% net, realizing for the company $26,527,500. It said that “the purpose of this financing was to take advantage of prevailing low interest rates in refunding the outstanding 62 per cent first mort- gage bonds at a saving and to pro- | vide additional funds to meet the needs of an increased volume of business in the face of rising manu- | facturing costs. BY the Assoctated Press. NEW YORK, December 7.—A com= mon dividend of $1.62'; was ane nounced today by National Steel Corp., as well as an increase in the annual dividend rate to $2.50. The current rate is $1.50 a year. Of the dividend declared today 621 cents represents a payment which would have been declared to estab- lish a new $2.50 basis at the meeting which ordinarily would have been held in January. The company’s announcement said inclusion of the 62!;-cent payment now obviates the necessity for the January meeting and reduces the . amount of the Federal undistributed earnings tax payable on 1936 earn- ings.
