NEW YORK, September 23.—Rem- ington Rand, Inc. stockholders, at a special meeting yesterday, approved the company’s plan of recapitalization. It provides for an increase in au- thorized common stock to 3,000,000 shares. Each share of 5 per cent cumulative prior preferred stock is to be reclassified and exchanged into $4.50 cumulative preferred in the ratio of one share of new for four of the old. Each share of $6 preferred is re- classified and exchanged into $4.50 cumulative preferred on a share-for- share basis. The proposed $4.50 cumu- lative preferred is to be authorized in the amount of 250,000 shares at $25 par. There is to be attached to preferred stock received in exchange, as a series, stock purchase warrants entitling holders to purchase 1!3 shares of common for each share of preferred to which the warrant is attached at prices varying from $27.50 up to $45 a share. James H. Rand, jr., board chairman and president, explained to share- holders that quarterly dividends of 3114 cents on the present prior pre- ferred and $1.50 on the $6 preferred, due October 1, would be paid. NEW YORK, September 23.—Sup- ported by a fresh wave of heavy buy- ing, steel production has advanced this week to 7312 per cent of the country’s capacity, the highest rate of the year thus far, Iron Age says today. “Further gains in output are likely to be limited by physical factors at the mills and not by the volume of business,” the weekly review stated. “Owing to restricted supplies of pig iron, scrap and coke and the fact that many open-hearth furnaces are still in disrepair, there is a scarcity of raw steel that is retarding operations of finishing mills. “However, steel companies are straining to eliminate production bottlenecks in so far as possibie. Makers of refractories are busy supply- ing fire brick for the rebailding of open-hearth furnaces and new con- struction is being rushed, two new 150- ton open-hearth units having been started at a Chicago plant, with two more scheduled for initial operation mn October.” The heavy volume of buying in the past week has been brought about partly by the desire of users to pro-1 tect themselves as far ahead as pos- | sible on those products which are to be | $2 a ton higher in price as of October 1, the review says.
