THE CHICAGO TRIBUNE: SATURDAY, DECEMBER 1, 1877—-TWELYE PAGES “THE PROTECTION. First Report of the Receiver, E. D. Cooke. Frauds in the Capital Stock—Thoe Use It Was Pat To. Rervelations of the Way In Which the Company Did Business, 1 Surplas of Receipta of Nearly $200,000 ~Whore Has It Gone? Mr. Edward D. Cooke, the Receiver of the Protection Life Insurance Compiny, hns sub- mitted to the Court his first report, For con- yenfence sake, it has been printed, in which form it may be sent tg policy-hollers when they write for information on the subject. This docament, which embadles thie results of weeks snd months of hard, persistent labor, shows up with great completeness the rottenness of the Protection, and points out clearly to what ex- tent and in what way people have been duped y this vlllanous corporation, Great credit s due the Receiver for the systematle thorough- pess with which he has gone Into the subject, and the preclston with which he hoa set out the results arrived at. Tt appears that the act organizing the Com- pany provided fora capital of §100,000, with power to increase it to $1,000,000. This 8100, 000 was required to he PAID IN IN MONRY AND INVESTED, et it nppeara that, when the Company began dolng buaineas in 1871, the capital was not vaid {n In cash except In the case of ong or two sub- gribers for a small amount. The other sub- scribers gave their cliecks to the Treasurer of the Company for the amount they subscribed. Afterwards, eccurities,, mostly real-estate mortgazes, were glven for the accounts repre- gented by tho stock fssucd, and sho cheeks were returnci to the stockholders. According fothe sworn statoments made to the Auditor of State In December, 1870, the Company had apltal stock pald up In cash amounting. to $110,000, whereas no eapital hias cver been pald {n,except to the trivial amount mentfoned sbove. It was for swearing to such things as these that tho officers of the Company, Messrs, Edwards, Hilliard, Ryan, and Iteld have been indicted for perjury. No revenuc, says the Re- eelver, bhas ever been recelved from the sccurle tles taken by the Company for this slock. The stock, in short; has not pald s dollar of the expenees from the organtzation of the Company to the present time, but all tho revenues of the Company have been collected from the policy-holders, who baso run tho entire concern, paying nll the ex- penses and ncurring all the risk, Tho only use of this eapital stock was to enablo the Company toevade the law requirinz a deposit of §100,000 with tlic State ‘Lreasurer before doivg any busl- pess {n Ilinols, and to enable the Company, by Issuing stock from time to timo, to OBTAIN A DANK CREDIT oo making aunual statements, When it came time to make up one of these per- jured statcmnents, or when it was under- #ood that the Stato Examiner wos coming sround to sce the condition of aflairs, stock was Issuad and given as collateral for a note of the officers, indorsed Ly the Company. for tho purpose of eccuring foans at various banks, which loans were represented In the atatements s cash in bank, without showlng the Mability for the cash borrowed.. Thus in December of 1573 $30,000 in stock was lsaued to A, W, Ed- wanls, on which a lonn of 830,000 was obtained atthe Fidelity Bavines Bank. In Deccmber of 1875, stock to the pmount of 830,000 was issued todobn Reld as Trustee, on which moncy was borrowed at the Fldelity for = the vurpose of passing an examluation o making o statoment, The following ar, §15,000 of stock was fasued to Hiltlard, and, ymeans of notes and this stock, money was borrowed from the Germau Natfonal. In May of 1§77, 30, warth of stock was lssucd to Edwards and Rald, which was put up with the- City 8avings Bauk for the purpose of miceting wegamination; and in November and Decein- per of 1870, £31,000 In stock wasfssued, on which £20,000 was borrowed. All this stock, thus {s- med, was canceled cither fu 1870 or carly in 1577." The oflicers of tho Company knew {hat tke reorcsentativo of the Iusurance Depart- ment would be along on a certain day to make the cxamiuation required dy law, It was ecessary to have a cerlain amount of money on bindfa vrder to face that examination.” Bo thls lssue of stock would bo macde; the officers of the Company would give their noto to the Fidelity, say, for $30,000; 1t would be Indorscd by the dompnny: there would bo put up as col- Iateral this stock of the Company and a mass of rmmlnm notes; and the money would remain s bank subjoct to cheek, When tho Examluer came, the officers would say to hlin, * We bave womuch money on band and £30,000 {n bank." Howould go to the bank und sk, for form’s fake, how much waps there to tho credit of the Protection, The bank officers would 1y 30,000, ‘That satistled himn; and thus the Company gut credlt for havine $3),000in baok, when In‘reality It nadn’t a cent there, because tothing was over sald to the Exawminer about 1be way in which this money had been secured. Hewas not informed that it was a lonn. THE INTEREST ON TILX BXCUTITIES taken for stock was not pald, but wus rebated tothe stockholders from tinc Lo timo es an in- terest dividend: so the stockholdera had fall weof thelr property which was mortgaged to wgre the payment” of their stock, and pald votbing as rent or {nterest, .
