The Stockholders of the Sperry Electric Light and Motor Company “I'HE DAILY BEE~-OMAHA, Held a Meeting Last Night and Elect- ed a Board of Seven Directors— A Few Minor Points Dis- cussed, An adjourned meeting of the stock- holders of the Sperry Electric Light and Motor company was held last evening at Ames' real estate office on Farnam street. The meeting was called to order by Mr. Gibbon in the chair. The object of the meeting was the election of a board of directors, which was proceeded to at once. All of the stock was represented ex- cept nine shares, and the question arose a8 to whether a majority of the full amount of the stock was necessary for the election of an officer, or whether simply a majority of the stock represent- ed at the meeting at which the voting took place would be sufficient. It was decided that the majority of the stock present, provided more than one-half of the entire stock represented, was suffi- cient to elect an officer or transact any business. Quite a number of the stockholders were absent and their votes were cast by proxy. After the ballots had been cast and counted it was found that six of the seven directors had been elected, viz : J. E. Boyd, J. H. McShane, Thomas Swobe, A J. Simpson, Guy C. Barton and Churchill Parker. Motion was then made by Mr. Hall that the chair be instructed to cast the ballot of the stockholders forthe election of the ramaining candidate who had re- ceived the highest number of votes. After considerable argument the motion was finally passed, andas C. V. Galla- gher was the gentleman answering that description, he was declared unanimously elected as director. A motion was then made that the directors, with the exception of the sec- retary, treasurer and general manager, render their services without money compensation for the first year. Another argument then followed, but the motion was finally carried. A meonition was then received from the gentlemen who own the franchise of the Sperry patent for the state of Ne- braska, to dispose of said franchise to the company for $330,000. They agreed to take &15.000 of the purchase money in stock of the company at par and the remaining $15,000 to be in cash. Kimball, general manager of the Union Facific railroad company, and A, J. Poppleton, attorney for that from Omaha in a special car and were engaged all day yesterday arranging end sottling the affairs of the St. Joseph & Western railroad with the receiver. The receiver, Geo. B. Smyth, was removed by agreement of all the parties inter- ested in the matter and he and of Judgd McCrary for his removal was wande some days ago, and filed in the United States court at Topeka on the 10th inst. The plaintiffs in the suit were represented yesterday by Judson & Mot- ter, the Farmers’ Loan and Trust com- pany, and the interests of the St. Jo- seph & Western by Doniphan & Reed, and the receiver gy Ex-Governor Silas Woodson, The papers were all signed, agreed to, and forwarded to Judge Me- Crary for his final approval. The St. Joseph & Western railroad company was (ugly organized on the 10th inst., in Boston, with Sidney Dillon, whom are in the interests of the plain- tifts of the suit. Winslow Judson,of this city, is one of the directors, and a mem- ber of the executive committee. The road now into the management of L. D. Tuthill, who has power to make any cortracts for passenger and freight transportation on such terms as he may think proper, unless the same should be rejocted léy the board of directors, Col. A. M. Saxton, it is understood, will be appointed tressurer, Mr. Motter con- sulting attorney, and Messrs, Doniphan & Reed, who have had the mansgement of the legal affairs of the road for ten or twelve years, will be the attorneys.
