SCOVILL COMPANY MAY PURCHASE TWO Directors Recommend Buying American Pin and Oakyille Cos. —_— Waterbury, Dec. 13.—Purchase of the American Pin Co. and the Oak- ville Mfg. Co., both of this city and both incorporated under the laws of Connecticut by the Scovill Mfg. Co. was recommended to the stockhold- ers of the Scovill company by the board of directors in letters issued to them today. There is a call for a| speclal meeting of the stockholders | of the Scovill company on December 18 at 2 p. m. at the offices of the! company here, and the directors urge that prompt action be taken in sending in proxies in case of inability to personally attend as it is urgent that the transaction be completed in the current year. The directors of the Scovill com- pany met yesterday and authorized the notice to the stockholders. Let- ters were sent out, one outlining the negotiations for the purchase of the American Pin Co. and the Oakville Mfg. Co.; providing for the issuance of additional stock of the Scovill Co. to the amount of $27,000 shares of a par value of $100 cash and of coupon debentures not to exceed $300,000 should the purchase be voted; and the second giving the terms of pur- chase. The capital stock of the American Pin Co. is $1,350,000 di- vided into 54,000 shares of $25 each and the offer is to exchafige onc share of Scovill stock for each four shares of Pin company stock. The Oakville company’s capitalization is $600,000 divided into 6,000 shares of a par value of $100 each and it is proposed to offer 2 1-2 shares of Scovill stock and $50 in debentures for cach share of Oakville.
