F.T.C. Again Urges Curb on Asquisifion 0f Corporate Assets Calls for Amendment Of Clayton Act to Preserve Competition The PFederal Trade Commission, in its annual report to Congress yesterday, renewed its previous rec- ommendation that the Clayton Act be ‘amended to outlaw the acquisi- tion of corporate assets under the same conditions that the acqusition of corporate stock has been unlawful since passage of this legislation in-1914. In urging amendment of the Clayton Act, the commission called attention to the conclusion of the | | concerning nine ealleged violations mittee that the process of corporate | ‘Temporary National Economic Com- merger and consolidation “has con- tributed in major part toward the elimination of competition,” and that the failure to prohibit the ac- quisition of corporate assets pro- vides “a convenient way of ecir- cumventing the obvious intention of the law.” The report indorsed the proposal of the T. N. E. O. that acquisitien of assets of competing tions over a certain size be forbidden without prior Gevernment appreval, as a means of insuring that the purpose and probable result of such acquisition would be in the public interests. “The commission is strongly in accord with the principie of thus limiting future expancion of the evil,” the report stated. During the year the commission issued 357 formal complaints charg- ing unlawful practices. It also is- sued 348 cease and desist orders, and accepted 532 stipulations to cease and desist from varicus flims against whom informal proceeGings had been instituted. Of the 532 stipulations accepted, 234 related to representations in radio and periodi- cal advertising matter. Of the 42 cases reaching the Fed- eral courts, 40 yere decided favorably to the commission, the report raid. The commission certified the facts of cease and desist orders to the Attorney General.
