The recent decision of Judge Traax, of the superior court of New York city, in the cage of Kums Hateb against the Western Uaion Tele- graph company, somewhat surprised the bench and bar of New York; it was not what was expected, and Hatch proposes to appeal the case. The question at issue ts the right of the Western Union, in pursuance of the consolida- ton with the other companies, to issue addi- Uonal stock and distribute tt among Western Unton stockholders as a sort of compensation Or reward to them for consenting to the con- solidation bargain, and without any new con- sideration on their (the stocxholders’) part. Chief Justice Sedgwick and Justice Speir, of the superior court, had both decided against the right of the company to distrinute addl- tonal stock; therefore there seemed to ba a general expectation of a similar decision from Judge Truax. The company’s claim, fa tne sult, Was that the additional fssue of stock was to make good or rather to restore to stockholders certain earnings of past years, which had been used In extending ani improving the com- pany’s business and property. Judges Sadg- wick and Speir held that as the articles of asz0- ciation of the company required expenses for improvement to be met by issue of stock, the company could not now go back sone years to correct the error it had made in devoting earn- Ings to improvements; that the earnings thus invested have become a part of the corpora. tion, its common property, and cannot be dis- tributed as proposed.
