‘The opinion of the District of Columbia in the caseof Pabst vs. the | Economical Building Association has been the subject of much discussion, especially among our citizens favorable to building associations. | Many construe the opinion@igpthe court as in | effect to abolish or materially impsir the col- lection of debts due to building associations. ‘This view does not seem to be fully justified, if ‘we examine the opinion delivered by Judge Wylie, and published in Taz Stax of last Wed- mesday. The court declares that ‘we discover | Bothing, therefore, in the nature of this aseoci- ation which is unlawful; that ts to say, there ; is nothing illegal in the rcheme or planof the association considered per se. Another portion Of the opinion indicatss that the decision seems to be based upon the “‘ particular matter in controversy in the present case.” In reference to the present case, it may be said that the building association clouded its own title toa recovery of the debt by statiagit to be “a loan,”’ and not an advance or “ purchase,” as it really was. Moreover, if the constitution of the asso- ciation is correctly quoted by the court—and the constitation of a building as-ociation is equivalent to the articles of agreement between members of a copartuership—it speaks of a stockho!der’s receiving a “ portion of his stock imadvance.” This, literally taken, is absurd, and is intended to mean, as the court jast'y observes, that a stockholder purchases and receives an advance equal to the nom- imal value of his stock, which, in that style of building association, is $200 per share. Thus it appears that the difficulties of this litigation were largely increased by the | careless use of language in its articles of agree- | ment. But if there was any fog around the | very horizon of the case, it doe not appear to | have been completely dispelled by the cour statement that Pabst, the party receiving t advance, might have elected ‘to continue his | connection with the society,” and ‘altimatay | have the advances made to him repaid from the profits of the association at its close.” Now, as | the Economical Building Association is very near the close or ‘winding up” of its business, which takes place whenever the last share of stock shall have been canceled by redemption or by advance, it is evident he could hav» made money by continuing bis connection with the | association, if it really would have paid up the nominal value of his stock a second time—that is, from “the protits of the association at its close.” But, unfortuuately, that repayment of an advance is not the theory of a building as- sociation, and such @ prospective profit would Rot be practically realized much short of the time when al! things will be made right. under the inspiring music of Gabriel's trumpet. As before indicated this case appears to have been decided upon special facts as presented in this trial, rather than upon issue made upon the lega! validity of the general scheme or the- ory of building asssciations. The case for the Economical Batiding Association was ably argued before Judges Oliv, Macarthar, Hum- phreys and Wylie. by Messrr. Cox and Davidge. Mr. Davidge maintained, aud it woald appear successfully, that the terms upou which stock- holders receive money from building associa- tiovs are not in their natare loan, but of an ad- vance payment of the nominal value of each Share of stock which is obtained by pu Mr. Davidge cited important decisions of the English courts, and alto of the Sapreme Gourt of the United States,in which the distinction between borrower and lender, and bayer and seller, is fully set forth, and it is to tue latter Class that cases arising ont of building associa. tion transactions must be referred, always, how- ever, limited by the peculiarities of the consti- | tution or agreement under which each associa- tion conducts its businers, Jadge Wylie, in announcing the opinion of the court, gave some Valuable hiuts im regard to excessive fines in building associations, and directors and organ- izers of such companies would do well to take heed of the admonition. The only effect of excessive fines is to place the case of &@ building association in an unfavorable atti- tude before a court and in the community The uncqval division of profits among the stockholders is another matter that might be examined with advantage. But on this point, a> in meuy others, a wide diversity of practice exists, and the great error of courts and indi- viduals in forming an estimate of the value of Building associations, is based chiefly on the idea that they are all alike. They have, indeed, a common object, but their modes ot accom- plishment are widely different, both as to the re- payment of the original advance and its cost to the purcbaser, as well as in the ratio of profit provided for him under the various forms of constitution and agreement.
