Gard- ner. Gen. Ulmann was at New Orleans on the 4sth. Ataconvention in New Orleans for the | purpose of choosing delegates to a convention of Union men from all the States, to be held in Louisville, a delegation of colored men were admitted to seats. Two of the officers of the Harriet Lane, released on parole by the rebels, had arrived at New Orleans. ww Quantrell is said to have been whipped some time ago at Barren Fork, Cherokee coun- ty, Arkansas. He, with Standwait and Adair, had a large rebel force, which was encoun- tered by Indiana troops under Capt. Spelmar. About seventy rebels were killed or wounded. It is krown that Major General Butler, who bes superseded General Meredith as the agent or medium for the excharce of prisoners, has no such instructions. The prisoners at Forts Norfolk aud McHcnry, and Point Lookout have been placed under his orders, and he is authorized io conduct the exchange man for meu and officer for officer, of equal rank, with The object is to make an even exchange as far as the prisoners in the rebel possession will admit; and, governed by humane motives, the effort will be made first to procure the release of those who have for the longest time been held as prisorers. Colered troops and their officers, in conduct- ing the exchange, will be placed on an equality with all other troops, and so of colored men in civilemployment. This is one of the points to be hereaiter adjusted. The honor and dignity of the Government, in the protection of such colored persons and their officers, will not be comprom iced. SS —— FIFTY MEN TAKEN PRISONERS, —___—_»—_—_— We hear that on cne night last week a num- ber of oyster boats, with permission of the proper suthorities, weut into York River for cargoes of oysters, and while engaged in load- ing, nine of them were boarded by rebels near the mouth of Portopotank Creek (about thirty miles aboye the mouth of the river), who came eff in boats under pretence that they were to help to make up the cargoes, and seized the crews, numbering over fifty men, who they placed in irons and sent to Richmond, and then set fire to the vessels, which were totally destroyed. The rebels before destroying the vessels, are reported to have carried off the stores and all yaluables found on the persons of the prisoners. York River is under the surveillance of gun- | boats belonging to Admiral Lee’s squadron: on band about 200,000 feet prime | knives, Photograph Albums. @becsmén, Gi c-s | but they do not cruize up as high as Portopo- tank Creek. It is thought that the boats went toa greater distance up the river than neces- | sary when it was impocsib’e for the gunboats to follow. We understand that the boats near- ly or all belonged to Philadelphia, and that they were to have discharged their cargoes of oysters at Alexandria, to be shipped to the amy. FROM CHARLESTON. =e A WASHINGTON BOY IN A TIGHT PLACE, i From a letter written on board the U.S. steamer George Mangham, off Charleston bar, Dec. i8, we learn that Paymaster James G. Holland, (of this city,) on that vessel, made a narrow escepe from drowning on the 17th. It feems that the captain of the Mangham and Paymaster Holiand went on board the flaz- ship, the Philadelphia, (lying inside the break- ers, eloce to land,) and on returning got through the breakers cafely, when they observed astern | of them asmall bost belonging to one of the eacp. ings outside, which hed capcized, and whose crew were clinging to herand shrieking franti- eally for assistance. In going to their assistance, which they did with almost certain destruction before them, the Mangham’s beat got swamped and capsized, Jeaving its occupants to struggle in the surf for iuUy an hour, until the Admiral’s own barge reached and saycd them, after four boats had been sw2mped in the breakers. Three of the boat’s crew they had rescued perished mean- time. CAPTURE OF A BLOCKADE RUNNER, The report of the capture off Mobile Bay, of the Confederate schooner Marshal J. Smith on the night of the 9th inst., by the U.S. gunboat Kearsage, of the West Gulf Blockading Squad- ron, has reached the Navy Department. This schooner was attempting to run the “block ade, and was destined for Havana. Her cargo was chiefly cetton; but the amount of cargo cannot be determined until she is dis- | charged, as her papers were destroyed by her supercargo previous to capture. The Smith is about 200 tons measurement. The following is a list of her officers and crew; all of whom were captured with her: Herman | Parker, Master; H. F. Ericson, Mate; J. F. THE ALEXANDRIA RAIL=0AD CasE.—The Supreme Court of the District of Columbia have before it the case of the Washingtoh, Al- exandria and Georgetown Railroad Company et al vs. the Mayor, Board of Aldermen and Common Council of Washington, et al, Messrs. Revyerdy Johnson and J. B. Stewart appear- ing for the company, and Messrs. J. M1. Brad- ley and W. D. Davidge for the Corporation, The cause of action and grounds for relief, as set forth in the complain&nt’s bill, are that an alleged contract was entered into og the itth of April, 1955, between the Oorporation of Washington and the late Alexandria aud Washington Railroad company—the former a ate corpora- uci—in which both parties assumed and exer- cred powers not delegated to them or author- ized by their charters, in violation of the laws governing the samé. That had there been sufficient authority dele- ed in the respective charters of said corpo- rations, they in no instances consumated any valid contracts which could legally bind either Ary. Pipbat the Corporation of Washington has been guilty of such general and continued ts spe- cified in the deed of trust of the i9th of April, 1855; and has, furthermore, openly declared null and void its gwn obligation so assumed as a violation of its charter, and that it does not owe the debt thereby caused. The plaintiff contends that there was no right or authority of the part of tit®] Railroad Company to borrow. money at the*time the deed of ust was executed; thar <the certificates issued weré not in proper form, nor were they issued in the State of Virginia, where alone the Uompany had a legitimate existence; that the deed of trust executed ivth of April, 1855, to Joseph H. aad A. The contract on its face, so far as the railroad company are concerned, is a valid con- tract. They had the power to borrow money, and the complainants not being stockholders atthe time the loan was made, had no right. Notbeing then stockholders, or even creditors at that time, they cannot now cet up a waut of capacity in the company, because they are subsequent creditors and purchasers with no- tice. 5th It is not material whether the corpora- tion of Washington had or had not power to gusrantee the certificates. If they had no power, the company has reveived the benefit of the guaranty, and equity will not relieve them from the obligation to repay it. The city had the power—the limitation on their power being that they shall not increase the funded debt. There is no restraint on the ordinary expendi- tures of the city. 6th. That Fowle, Snowden & Co., taking a mortgage suject to that of the defendant's, could not allege the invalidity of the defendant's security. Finally, the seal of the Corporation haying been affixed to the deed and the deed signed by the president, and it having been delivered and recorded, these acts are evidence of the authority of the president to make the deed and the con- tract recited therein. The certificates having been issued in due form. according to the terms of the contract, are prima facie evidence that the railroad company are bound. The rae pees EF under the act of February Sth. 1955, agreed to guarantee the bonds of the Weshington and Alexandria Railroad to the amount of 860,00", to secure the payment of which a deed of trust was executed by the com- pany on 19th April, 1855, (Jos. H. and A. Thos. | Bradley being the trustees.) The trustees re- cently advertised under the deed to sell the rails of the company, when its officers got an injunction trom Chief Justice Cartter. The question now to be determined is whether this injunction shall be made perpetual or be dis- solved. The case was Speed on Thursday last by Mr. Stewart for the complainant and to-day Mr. Bradley is arguing for the corpor- ation. Usher, Secretary of the Interior, haying offered the large hall in the rorth front of the Patent Office building for the fair, it wss unanimously accepted with many thanks. ‘The president of the association has d committces in each ward to make , and these ladies, together with the officers of the association, are determined to make this fair equal to auy of the kind yet held in any city of the Union. At the fairz in Chi- cago, Boston and other cities large amounts were realized, and there is a fair now in pro- gress in Cincinnaii which promises t> increase largely the funds of the Sanitary Commission. The same parties indicted for breaking into and robbing the store of J. H. Knott, of a box os tea and other articles; on trial. George Pickerell, charged with assaulting his wife, submitted his case, and was sen- ten'ced to jail for flve days. So GRAND LaRceny.—Last nicht Wiiliam H. Davis (colored,) formerly a servant in the boarding house of Mrs. F. Cudlip, Pennsylya nin avenue, near 3d street, was arrested by Officer Lynch, of the Fourth Ward, forthe lar- ceny of A por pook and $20, the property of G. D. Cudlip. This morning Davis confessed that his wife (a servantin the house) took the money and gave ittohim. Justice Giberson sent him to jail for court. Davis’ wife was ar- rested by Officer Brewer, of the Third Ward, for the same offense, and alse for stealinga gold cross belonging to G. D. Cudlip.
