Its Annual Meeting Fails for Lack of the Necessary Quornm. OUTLOOK FOR ITS FUTURE DISCUSSED. Me t Among T Y asth ¥ Resoly orous Hustle A Grow E ton n Vig- Aftairs, Associntion ‘The annual meeting of the Omaha Driving Park association was booked for yesterday afternoon in the rooms of the Real Estate Owners association, and an attempt was made to hold it for the purpose of electing oficers and divers other things, but tho attempt was n dismal failure, as there was 10 quorum present. According to the bylaws, a meeting of the stock holdors can not be held unless there are a majority of the whole number p resent, or unless a majority of the stock issued is represented. Thora are 124 holders of the stock of the association and only seventeen of them were present, and of tho #121,000 worth of stock subseribed considorably loss than half was represented. Notwithstand ing this fact, those present represented by far the greator part of the stock thus far pald 10, but under the bylaws they could not transact business, and they resolved thom- selves into a sort of experience meoting, with President Swoatnam in the chair, to talk over the affeirs of the association and try to arrive ut a better understanding ull around. Inasmuch as the idea that the association is practically dead scems to quite generally prevail and has even taken possession of some of the stockholders. a statement of the affairs of the organization as they were shown to exist at yesterday’s meeting may nov be out of place. Statement of the ation's AMairs, The association was incorporated in with an authorized capital stock of $250,000, and of this amount 121,000 bas been sub seribed. Against this subscribed stock two assessments have been levied—the first of 25 and the second of 10 par cent, a total cf per cent. The greater part of the first as sessment was pmd, but much of it was in notes of which 0 worth are still on hand uncollected. Very little of the second as- sessment of 10 per cent has yet been paid in aud the treasury contains less than $300. So much for that side of the account. The association purchased grouads just aftor its incorporation and wens into debt for them. The grounds compriso 140 acres, and were a part of the Pickard estate in tho southwestern part of city just inside the four and a half mile limit, ho price paid ranged from 350 to $1,000 per acre, but aver- aged about $500, the purchase prico being on which 3,000 was paid down. s leaves a balunce of §7,125, and inter- st, still due ou this purchase price. A mile track was built at a cost of $20,000, on which thesum of £,400 is still aue, and other claims ugainst the association amount to 4,000, making a total indebtedness of §i3,- 768, It developed at the meeting that there was no trouble about the purchase money, as the sollers were willing to let it run, provided the interest was paid. But intorest to the amount of £,000 s due and there is prac- tically no money to pay it. This is the situation in which the stock holders found thomselves, and the question arose “What's to be done?’ After Se tary Burket had laid all the facts and figures before them their indecision did not last long, ana George W, Ames made a few remarks that met with general approval. Generally and Generously Ronsted. 1 have talked with several stock holders auring the past few days,’ he said, ‘‘and they all wanted to know what was gowg to be dono. They seemed to feel that the asso- ciation had gone up, and said that they would pay in no more money until they know what it was for ana where it was going. There is a general lack of confidence and it 1s not becauso of the workof the present officers and directors. Tbo stockhoiders foel that they were jobbed the first year, and the manner in which money was axpended that year causes gencral dissatisfaction.” And then everybody took a hand, and ex- Manager Roth and ex-Secretary Berlin were very generally and gencrously roasted. “But,” continued Mr. Ames, “there can bo no kiclki now that we know what is being doue by the present directors, The showiug is perfectly satisfactory, so far as I am con- cerned, and [ am in favor of going ahoad. Thero are 140 acres of land, und it is worth at least $1,000 no acre. The 'Beard of Park Commissioners are paying 3000 an acre for adjoining property for an addition to Klm wood park. If he subscribed stock w paid up 1 full it would pay all fadebtedness and leave money in the treasury, and the grounds would be a zood real ostate specula- tion even if that§0,000 track was not al- ready there. 1 tell you, gentiamen, the asso- ciation is all right, ana all that is needed is u restoration of confiderce.” “I'hat is just wbat is needed,” said Pres| dent Sweatnam. “The stockholders are nearly all able to pay without any inconven- 1ence if they were so disposed. ‘Fhe assess- ment of 10 per cent 1s only £10 a share, but the stockholers seem to feel tuat they are throwing just that much aw; Y is smmlv a question of whether we pay something and get something, or pay it and get notbing, for we are held for it anyway. I am satisfied, however, that if the stockholders understood the situation they woald pay without further trouble. We nhave sued to collect some of the notes and have been successful inevery case, but it costs us too much for fees, for the Iawyers milk the cow and get §2 for collect- ing §5. We don't want to spend cur money that way." An informal discussion of what was best to be done followed. Willing to Go Ahead, Mr. Ambler said that he would bo ono of ten to pay up.his entire stock of $500 in order 10 raise the money to pay the interest due, He was in favor of going ahead and putting up buildings and gerting in shape to hold meetings on the grounds. Secretary Burket said that one good meet- ing would put the association on its feet., Will Krug callod attention to the fact that Omaha is now virtuaily without o fair ground and that the erounds of the associa- tion were a necessity to the city. e would give #,000 to get . P. Williams here from Independence, Hugh G. Clark said that Mr. S. H. H, Ciark had promised to run a “Y" of the Missouri Pacific to the grounds as soou as a right of way was secured, and the Fremont, Klkhorn & Missouri Valley is already llll’le It was stated that the street car line was bound to go there,Mr. Murphy had given that Ass Gonorrhoen, Gleetand Joewrernen gured In 2 diys by tho Fronch Romody entits Jed the KING. Graln Men and Board of Teade Mombors DIer on Business Proposition, Thero is a difference of opinion among members of tho Bbard of Trade with ro for ence to the question of selling tho building and 1ot at the corner of Sixteenth Farnam stroets, Speaking of the matter yesterday morning iclid Martin, prosident of tho board, said: 1 am in favor of solling the building and fot, but I am not in favorof disorganizing, 1 thinic it would be wiso to sell the building and thon lease it for a term of yoars, Then it might bo well to have the members organizo two separate bodies, lotting the erain men take full charge of their business and let othors organize a commereial club. “I have been led to this vonclusion by the fact that thoro seems to bo a good deal of ais- satisfaction among the grain men with their present reprosentation on the board of divec: tors. 'This has caused other members of the board not engagod in the grain business to 2row restive bocause they think that thirteen grain men should not expech to exorcise i much power in the management of an or- sanization having 207 members, *“The memberships in_the board are actu- ally worth from ) to $00 in cash. ho property owned by the board is worth £240,000 and_there is about 0,000 m- debtedness. You can seo that if we could make a fair salo of the property and divide tho proceeds up that tho shares would be worth what I have said. Tuere are thirteen grain men in the board who zot their shares at &50 each. [t would bo a clear gain to each of these of 00 or more. These mem- oerships that they hold were bought in by the board for men who wished to dispose of them at a sacrifice. The board then sold them to the grain mon whon they came in at cost I think the grain men would be better satistied to have their businoss all to thom- seives, and I am quite sure that many whole- salo merchants who now take but vory littlo in tho board matters could bo wspired to greater activity and earnestness1f they bo- longed to a_commercial club which would look out for theso quostions of railroad rates and other mattors of interest to shippers.” He 0O pses the N Mr, James Walsh, one of the grain dealing members of the board, was seon and said : “The scheme suggosted by Mr. Martin last nignt is simply preposterons. Here we have been paying our assessments upon these memberships for years when the stock was really worthless and now when the debt is beginning to disappear rapidly to think of selling the proporty to lot somebody elso got the benefit of the increased vuluo is alto- gether out of the question. My plan would bL Just the reverse. I would like to see each member assessed §250 and the debt of the board ent wiped out. Then we would have an investment that would pay us 15 por cent. *“The scheme to sell the property will not meet with favor. It will be com- pletelv squelched when the full membership of the board shall come to deal with it.” Not Good Policy, Mr. S. A, McWiiovter, aiso a grain man and a member of tho board, said: “1 hayen't thought much ubout the plan vroposed by Mr. Murtin, I don’t think it is a good stroke of policy just now. The grain_men in- tho board aré not_complaimng, Weo dow't caro who the directors aro so they are good, c'g- b k and on pable business men. What we wunt is place to do business. We bave that now ar are fairly well satisfied,” B. Christian, another grain dealor, 'here is a wrong idea abroad con- corning the wishes of the grain men. We are not desirous of running the business of the board. I kunow there was a dis- position upon the part of some of tho rain dealers to ask for four divectors from among the arain men, but I thought that was uunecessary. Wo have everything now that we could reasonubly expect. I think we should push right abead unitedly upon this question of transportation. A little love ‘east among mombers of the board is tho thing that would do us all good. If we pull togother and secure favorable rates for transportation Owaha can become o great wrain market. I am not in favor of any thing that looks like a halt in the procession just at this time.
