for the sole Wevelit and security of the holders of the said Albeny Extension bonds, which are now out- standing and unredeemed by the Harlem Company. It will be seen by the last report of the directors lo the stockholders, that $1,950,000 of these Albany Extension bonds have been redeemed by the Har- lem Company, by an issue of common stock, and are thereby cancelled by operation of law. It will be Necessary for the company to pay off the Albauy bonds now outstanding, and obtain a re- conveyance of that part of the road for either of said Mortgages to he made liens on it. When this is done the mortgages will become liens on the entire road, but not until it is done can they establish any claim upon that portion of the road known as the “Albany Extension.” A mortgage has been created over the entire line of the Sunbury and Erie Railroad, binding all the property, real and personal, possessed and to be possessed by the company, and not to exceed six millions. The mortgagee restricts the bonds to be issued under it to 50 per cent. on the capital previ- ously invested in the construction and equipment of the road, and to this fact the trustees are required to certify. The loan is convertible into stock fora term of fifteen years,and a small sinking fund is provided for to commence on the completion of the entire road. The features of this mortgage are some: what peculiar, especially the restriction upon the use of the bonds ; but it looks to us like a very judicious plan of credit for an unfinished road. Forty miles of this road are now in use, and about an equal distance tan be completed next season. The Philadelphia Ledger speaks encouragingly of the prospects of this long deferred enterprise, and of the efforts of the President, ex-Goy. Bigler. We believe it was Nicholas Biddle who first commended this scheme to Philadelphia ; and had his sagacious views been adopted, it would have been completed long since. ‘The Insurance Commissioners of Massachusetts have notified the agents of the Keystone Insurance Company of Pennsylvania in Boston, to discontinue taking risks in that city. The Boston T'ranscript states that the cause of the injunction is from the fact that the commissioners are not satisfied with the standing and condition of the office, and parti- cularly with the nature of the securities reported to them as the law requires—hence their action in the premises.
