By the advice of able counsel, the present Board have de- termined to prosecute the parties in interest, and with that view a bill in chancery is being prepared, and will shortly be served, compelling them to account to this company for the profits thereby made. They are ad- vised, and believe, that the claim is s just and good one, and that if prosecuted, it must result favorably to the company, in which oase the debt will be materially re- duced, if not entirely extinguished. A dividend of two dollars and a half per share was paid on the Ist July last, and asimilar dividend will be paid an the lst of November, and at least that amount regu- larly every six months after. Cornelius Vandesbilt, Esq has been elected President for the ensuing year, andtbe road neverwas under better management or in a more pros- perous condition. It must be borne in mind that this extraordinary increase has been produced, with an increase of only 948 in the number of through passengers compared with the previous year. ‘When the ferry at Providence is abolished, and the connection with the Providence rosd completed, the running expenses, repairs, &0., of the Stonington road will not be over twenty-five per cent. of the gross receipts ; it will be the cheapest running road in the country, the average being about fifty per cent. It will be seen by reference to the items of expendi- ture, that the increased business of the road required an ‘unusual eatiay for cars and locomotive power, during the past year. These form s permanent addition to the property of the company. A still greater increase in the business of the road is expected during the coming in consequence of the contemplated junction with the Boston and Providence Railroad, over a portion of the Providence and Worces- ter Railroad. This arrangement will increase the com- fort of the passengers between New York and Boston, by dispensing with the ferry at Providence, while the com- pany will thus save a heavy expense, and at least half a0 hour of time will be gained. When this junction is completed, the directors, having secured the co-opera- tion of the fastest and most splendid steamers on the Sound, oan safely promise to carry passengers between New York ang Soston in « shorter time than by any other route, and with unsurpassed comfort and accom- modation, A further inorease of business will necessarily take place from the Providence and Worcester Railroad, which has been nearly completed, and is expected to be in full operation in a week or two. The Stonington road isthe natural outlet for the freight and travel or 4 large part of the rich and populous country through which the Providence and Woroester road passes. A compromise was made and the debt reduced fitty per cent, since which the bond- holders have contrived to retain the management of the company, and the interest on the bonds has been prom ly paid. The recent election has changed the direo- tian, and the stockholders of the road have now the con- trolof it and its Aogoolal affeirs. TELEGRAPHIC, ‘The New York Democratic State Convention Sraacuse, Sept. 29, 1847—10 P. M. The Democratic Convention met at 10 o'clock this morning, all the members being present but one. The body commenced business by the appointment of Mr Crain, of Herkimer, and Mr. Birdsall, of Broome county, to act as tellers, call the roll, and reeeive the credentials of members, Eleven seats were contested. Mr. Brady moved to appoint Mr. Monell, of Chenango county, President pro t-m wipes After « discussion of three hours. « proposition to lay on the table was lost—ayes 63. noes 73 The great point of contention appeared to be as to whether the disputed seats shouid not be settled prior to the appointment of « temporary chairman, or whether the chairman should first be sppointed as usual The result was that the temporary chairman, Mr. Mo- nell, en old bunker of Chenango county, was duly eleot- ed, 73 to 61—the contestants on both sides voting. ‘This is considered an old hunker triumph. Committees were then appointed; one from each Sen- ate district, for the purpose of investigating the cre- dentials of those contesting seats in this convention, one committee for each county in which seats are contested. Committees were then: sppointed to nominate pre- siding officers for the convention, and the body took sa recess. In the evening the convention was organized, by the appointment of the following offlcers:—Robert H. Mor- ris, of New York, President; E. B. Hart, randreth, John Adams, John F. Huchinson, W. E. Crain, Stephen Strong, D. P. Cope, Thomas D. Osborn, Vice Presidente. Ex-Mayor Mickle, James S. Wadsworth, John D. Cos, and other barnburners, declined office. Three committees were contested, and a new election will be had to-morrow. Horatio Seymour got the contested seat from Oneida county; James Moore, the one from Ontario, and G, P. Barker and Isaac Potter, those from Erie, Adjourned till nine o'clock to-morrow. The Massachusetts Whig State Convention. SPEECH OFTHE HON. DANIEL WEBSTER, &c., &e. Srainariety, Maas., Sept. 29, night. The Whig State Convention met here to-day. There were about 700 delegates present ; the Hom. George Ash- mun Presidente Gov. Briggs and Lieut. Gov. Reed were unanimously nominated for re-election. The Hon, Daniel Webster made a speech one hour and 9 half long, and defined his position stronger than ever on the Mexican war and slavery questions. He was in favor of the Wilmot proviso, and of Congress not voting against supplies to the army and for the war. The resolutions of the convention, which were adopted unanimously, were strong against the Mexican war and slavery. The last two related to Mr. Webster; the first speaking in his praise, and the second recommending him to the Whig National Convention, as the first choice of Massachusetts for President of the United States. The Hon. John G. Palfrey offered the following as an additional resolution :- Resolved, That the whige of Massachusetts will sup- port no men for the offices of President and Vice Presi- dent of the United States, but such as are known by acts or declared opinions, opposed to the extension of siavery. This was discussed in a spirited and able manner by Messrs, Palfrey, Winthrop, C. F. Adams, Wm. Dwight» 8. C. Philips, and others: Mr. Winthrop was the only one who spoke against the resolution.
