ARTICLE 111—CAPITAL STOCK. The capital stock of this corpora- tion shall be fifteen thousand ($15,- 1000.00) dollars, to be divided into one hundred and fifty (150) shares of the par value of one hundred ($100.00) dollars each, to be paid in money or in property to be used in the conduct of the corporation, a just valuation of which property shall be agreed upon by the incorporators at a meeting called for that purpose, to be paid one-half on demand, one- quarter in thirty (30) days from first demand and one-quarter in sixty (60) days from first demand. Satd corporation shall have the right to increase its capital stock to twenty. five thousand ($25,000.00) dollars, the par value of which shares nhall be h(me hundred ($100.00) dollars each. ARTICLE IV—TERM OF EXIST- EN This corporation shall continue for a term of ninety-nine years unless sooner dissolved according to law. ARTICLE V—OFFICERS. The officers of this corporation shall be a president, a vice president, a secretary, a treasurer, a general manager and a board of directors, which shall consist of not less than five members and not more than sev- en members, and such other officers as the board of directors may see fit to choose, which officers shall be chosen at the regular annual meet- ing of the stockholders; said annual meeting shall be held on the second Tuesday in January in each year. The date of the annual meeting may be changed by the by-laws. The president, vice president, secretary or treasurer may be the general manager; the secretary and treas- urer may be one and the same per- son. In the election of officers and all other business to be transacted by the stockholders, each stockhold- er shall be entitled to one vote for each share of stock owned by him, which vote may be cast in person or by proxy evidenced by authority in writing signed by the owner of said stock. No person who is not 3 tous fide stockholder shall be eligible to hold any office in saild corporafion except that of general manager and such offices as are created by the Board of Directors.
