We, the undersigned, have associ- ated ourselves together to form a corporation for the punposes here- inafter mentioned, pursuant to the provisions of Chapter 58, Revised Laws, Minnesota, 1905, and acts amendatory thereof; and to that end have organized by adopting and sign- ing the following Certificate of In- corporation: Attest: Article I. The name of this corporation shall be ITASCA DRY GOODS COMPANY. The genera] nature of the business of this corporation shall be buying, selling and dealing in any and all kinds of dry goods, furnishings and supplies; also buying, selling and dealing in any and all articles of general merchandise: and personal property and conducting a general sale or retail, or both; manufactur- ing: combining and producing manu- factured articles of all descriptions for sale and distribution; acquir- ing by purchase, lease or otherwise, and selling, mortgaging and dealing in lands, tenements and heredita- ments, fixtures and personal property whether the same be incidental to the purposes hereinbefore enumer- ated ar not. The directors and officers of this cor- poration shall hold their respective offices for the term of one year and until their respective successors are duly elected and qualified. The annual meeting of the stock- holders of this corporation shall be on the fourth Monday in April in each year at such hour and place as shall be fixed by the Bylaws of this corporation. Article V. 3 The capital stock of this corpora- tion shall be Twenty-five Thousand Dollars ($25,000) and the same shall be paid in by money or by property at such times and in such manner as the Board of Directors shall de- termine; and if by property, then at its fair and true value in money. Said capital stock shall be divided into Two Hundred Fifty (250) shares of the par value of One Hundred Dollars ($100.00) each. Article VI. The highest amount of indebted- ness to which this corporation shall at any time be subject is the sum of ‘Twenty Thousand Dollars ($20,000.)
