The undersigned, do hereby asso- ciate themselves together for the purpose of forming a corporation, pursuant to chapter 58, of the Re- vised Laws of Minnesota’ and Acts amendatory thereof and supplemental thereto, do hereby adopt, subscribe, seal and acknowledge the following certificate of incorporation: ARTICLE I. The name of this corporation shall be, “The Keewautin Mercantile Com- pany.” The genera} nature of the business } to be carried on by said corpora- tion, is a general mercantile business, to own, purchase, receive, possess, lease and to retain to itself and suc- | cessors, real, personal and mixed es- tates and to use and enjoy the same | and to construct buildings upon and improve the real estate in such manner and for such purposes as this corporation may deem proper or advantageous, in conducting a gener- al mercantile business, and to sell, | convey, lease, mortgage and dispose of, charge and incumber such lands and in such manner and on such terms, as the corporation may de- | termine upon, by order of its Direct- ors or establish by its By-Laws, and its principal place of transacting | such business shall be in the Vil- lage of Keewautin, Itasca County, | Minnesota. ARTICLE II. The time of the commencement of this corporation shall be the 11th day of December, 1911, and the period of duration shall be thirty (30) years, ARTICLE III. The names and place of residence of the incorporators are as follows: Axal Jackson, Joseph Conte, and Arthur Hall, all of the Village of Kee- | wautin, Minnesota. ARTICLE IV. The management of the affairs of the said corporation shall be invest- ed in a Board of Directors, who shall be stock holders. They shall be elected annually at the annual meet- ing of said corporation which said annual meeting shall be held on the first Monday of February, of each year. A president, vice-president, secretary and treasurer, who shall be elected by the Board of Directors at the first meeting of said Board, after the annual meeting of said cor- poration. The office of secretary and treasurer may be held by the same person, The names and address of those | composing the Board of Directors, un- til the first election, are the follow- ing: Axal Jackson, Joseph Conte and Arthur Hall, all of Keewautin, Minne- sota and until the first meeting and until their successors are elected @nd qualified, the following shall be the officers of said corporation: Axal Jackson, president; Arthur Hall, vice-president; and Joseph Conte, secretary and treasurer. One to be composed of congressional town- ship 61, Range 22, to remain the Town of Bearville, and the other to be composed of Township 60, Range 22, to be named Greenrock. Commis- sioner King moved that a hearing be had upon said petition at the County Commissioners’ room in the county court house in the Village of Grand | Rapids on Thursday the Ist day of Feb- ruary, 1912, at 1:30 o'clock p. m., and ithat the County Auditor cause the | proper notice of such hearing to posted and served as provided by Sec- | tion 453, Revised Laws of 1905. The motion was seconded by Commissioner Nelson and carried by unanimous vote. i Commissioner King moved the adop- | tion of the following resolution: Resolved that Elise Skoglie of Celina, Minnesota, be allowed relief in the sum of $12 per month. That the coun- ty auditor be authorized and instructed to issue his warrant monthly in favor of said Elise Skoglie for the amount of such relief. Said relief to take effect for the month of November and to con- | tinue in force for each month thereafter until further action is taken by this board. The committee appointed to examine the route of said proposed road filed a report in which they recommended that the prayer of the petitioners be granted. After hearing all persons interested in ‘the matter of said petition, Commission- er Nelson moved that the report of the} committee be approved, that the prayer of the petitioners be granted, that said highway be hereby ordered established in accordance with the report of + the committee, that the advantages and benefits to each description of land ov- er said highway passes be and are | hereby assessed equal to the damages sustained by reason of the establishment of said road and that said highway be i known and designated as County Road No. 110, and that the chairman of the ‘board and the county auditor be in- ' structed to execute and file the proper final order establishing said road. The j motion was seconded by Commissioner King and carried by unanimous vote. Tim Taffe a citizen of the Village of Grand Rapids came before the board ‘ana requested that he be furnished hos- pital care and treatment for cancer. | Commissioner King moved that said Tim Taffe be committed for operation and treatment for cancer by the county physician, at St. Benedict's. Hospital, jand that Dr. G. F. Schmidt be author- ‘ized and instructed to assist the coun- ty physician in said operation and that ‘he be allowed for said services the sum of $50.
