PROCEEDINGS OF THE BOARD OF SUPERVISORS Town of Grand Rapids Itasca County, Minnesota Grand Rapids, Minn., May 16, 1911. the accrued interest of about Pursuant to call of Chairman Nsi- bett, a special meeting of the town board of the town of Grand Rapids, Itasca County, Minnesota, was held in the town hall in the village of Grand Rapids, in said town this 16th day of May, 1911, at 8 o’clock, p. m. Present: Chairman Nisbett, Sup- ervisors Hoolihan and Zeininger, and town clerk McMahon. Chairman Nisbett ordered that the reading of the minutes of the last meeting be dispensed with. Chairman Nisbett stated that he had called the meeting in order to have the J. I. Case Company present to the board their offers of settlement in the matter of the purchase of the road machinery from the said com- pany. Mr. Johnson made offer and tenure to take back the machinery purchas- ed from the J. I. Case Company, pro- viding that the J. I. Case Company would not be liable for any damages which said company might be held liable for by reason of any agree- ments which the township and said Case Company have heretofore en- tered into, said Case Company to re- fund to the township, the orders issued to said company in payment of said machinery, and to cancel all obligations of debts which the safd Case Company may allege to have against the township to this date, the hi issue its orders in said amounts due as specified, said orders to draw six per cent interest from the date of issuance, the date of issuance to |be the date when the said 75 horse |power engine shall arrive in Grand | Rapias. Mr. Johnson stated that this proposition meant that the J. I Case Company would adjust its dif- ‘ferences with the township by furn- lishing the 75 horse power | engine ‘equipped as stated, surrender the orders aggregating $3,000 issued to said Case Company, together es thereon, would receipt the bill for repairs in the sum of $52, which the township has refused to pay, and throw off the sum of $250 from the original purchase price; the township, if the proposition be accepted, when said engine be delivered according to this contract, to issue warrants aggregating $2,750 payable as here- inbefore stated, and when said or- ders for $2,750 shall be issued it shall be evidence of a complete set- tlement of the differences now ex- isting between the Case Company and the township. Supervisor Zeininger moved that the proposition of the J. I. Case Company to take back the road ma- chinery heretofore attempted to have been sold by the Case Company and purchased by the township, and to surrender to the township the town orders issued in attempted pay- ment of said machinery and cancel all claims of every nature against the township, be accepted, and that the delivery of said machinery to said Case Company and the surrend- er for cancellation of said warrants be final settlement of the pending matter betwen the township @nd the J. I, Case Company. / Supervisor Hoolihan seconded the motion to accept said proposition Upon a vote being had, Super- visors Hoolihan and Zeininger voted “yes” and Supervisor voted “‘no.” Chairman Nisbett declared the township to surrender all claims for damages which they may have against said company. ‘ Chairman Nisbett stated that he was not in favor of turning back ot the J. I. Case Company the machin- ery without the township receiving some remuneration for the expenses and damages which the township had incurred and sustained by rea- son of the J. I. Case Company not fulfilling its original contract for the purchase of said road machinery. He stated that as a business propo- sition it was foolish for the board to attempt to make a present of the taxpayers’ money .to the J. I. Case Company; that the representatives | ed. of the company practically admitted that they were holden for damages ty, Jeason of their fajlure to ¢ulfill their contract, a Mr. Johnson, in behalf of the J. I. Case Company, made a further offer to furnish the township with a 75 horse power engine, with thirty-cix inch solid drive wheel, said engine to be a coa] burner, being J. I. Case Company’s No. 17210, said engine to be equipped with extension rims, fuel bunkers, 30 foot suction hose and syphon for filling water tank, the said Case Company to deliver said engine, so equipped to be delivered to said township f. 0. b. cars at Grand Rapids, said Case Company to send an expert to prepare said engine and the balance of the ma- chinery in shape for doing such work as the township desires, said expert to help demonstrate the haul- ing capabilities of said engine. The township to deliver to the said Case Company the engine and fuel bunk- ers now attached to the engine, in the tool shed of the township, and said Case Company agrees to sur- render the township orders hereto- fore issued to said Case Company in alleged payment of the road machin- which was attempted to be sold and purchased, and to cancel cer- tain obligations which said Case Company may allege to have against he township for repairs furnished for the old engine. If said proposi- tion was accepted the Case Company would deliver said engine in Grand tapids without further cost to the township and would adjust all the di ences with the township and accept in payment of said machinery town orders in the aggregate sum of $2,750, payable $900 December 1st, 1911; $900 due and payable Decem- ber 1, 1912; and $950 due and payable on December 1, 1913; the township motion carried. > Upon motion of Supervisor Zein- inger, seconded by Supervisor Hooli- han, the J. I. Case Company was given 30 days in which to remove their machinery from the town prop- erty, the J. I. Case Company being required before they attempt to re- move said machinery to. deposit with the First Nationa] Bank of Grand Rap) ids the warrants for $3,000 for can. celation, and a receipt for the $52 for repairs furnished, ready for delivery to the township. Upon motion the petition was or- dered placed on file. ‘After a lengthy discussion indulg- | ed in by members of the board and W. C. Gilbert, E. J. Farrel] and Leon M. Bolter, Supervisor Hoolihan intro- duced the following resolution, and moved its adoption: “Whereas, at a meeting of the board of supervisors of the Town of Grand Rapids, held at the Town hall, in the village of Grand Rapids, in said town, on the 16th day of May, 1911, at 8 o’clock, p. m., there was adopted a measure whereby the ma- chinery. attempted to be purchased by the town from the J. I. Case Com- pany was to be turned over to said Case Company, in consideration of said Case Company returning for can- cellation to the township three cer- tain orders issued in attempted payment of said machinery, and “Whereas, there has been present- ed to this board a petition from the leading and representative taxpayers of the township, praying that said action of this board be rescinded, and “Whereas, this board is simply the agent of the taxpayers and are desirous of acceding to the wishes of the taxpayers in all matters, “Now, ‘therefore, be it, and it is hereby resolved, that the motion to adopt said resolution and motion be and is hereby reconsidered, and said action in adopting said motion and resolution is hereby annulled.” Supervisor Zeininegr seconded the motion to adopt the resolution and upon a roll call, the following vote was had: Ayes, Supervisors) Hoolihan and Zeininger and Chairman Nisbett. Nays, none. » Chairman Nisbett then declared the resolution duly adopted. Supervisors Zeininger presented the following resolution and moved its adoption: “Whereas, at a meeting of the board of supervisors of the town of Grand. Rapids, held in the town hall, in the village of Grand Rapids, on the 16th day of May, 1911, at 8 | o'clock p. m., there was made an offer by the duly authorized _repre- sentative of the J. I. Case Thresh- ing Machine Co., of Racine, Wis., to adjust the differences between the township amd the J. I. Case Co., by said company furnishing town with a 75 horse power traction engine, equipped with fuel and water bunk- ers, and 36 inch solid wheels, with extension rims, said engine to be in first-class condition, and to be de livered f. 0. b. cars Grand Rapids, and turning over to the town for cancellation three certain orders here-| tofore issued to said Case Co., ag- gregating the sum of $3,000 and to cancel all alleged obligations of the ‘town with said Case Co., and to sell the water tank and eight dump wag- ons, together with said 75 h. p. en- gine, at and for the sum of $2,750.00, payable in three orders to be dated | when said engine shall arrive at Grand Rapids, one payable December 1, 1911, for $900.00; one myable De- cember 1, 1912, for $900.00; and one | payable December 11 1913, for $950.00 the township to turn over at Grand Rapids the engine in their possession, and “Whereas, a number of the lead- ing taxpayers of the town have pe- titioned this board to accept said offer, “Now, therefore, be it, and it is, hereby resolved, that said offer of said Case Company be accepted, and that this board be hereby authorized and empowered to enter into a con- tract with the said J. I. Case Com- pany for the purchase of said machin- ery according to the terms of said offer, “Resofved further, that this ac- tion be irrevocable and shall continue in full force and effect, provided on- ly that said engine to be furnished, shall be in first-class shape, and shalh be equipped in every particu- lar as agreed to by the official rep- resentative of the J. I. Case Co.” Supervisor Hoolihan seconded the motion to adopt the resolution and upon a roll call the following vote was had: Yeas, Supervisors Hoolihan and Zeininger and Chairman Nisbett; Nays, none.
