Washington stockholders of the Chesapeake and Ohio Railway’ are receiving coples of a circular prepared by Scott & Stringfellow, Richmond bankers and brokers, aimed to furnish ammunition for the minority share- holders in their fight against the re- newed efforts of the Van Swerlgen in- terests to bring about the merger of the C. & O. with the Nickel Plate, Erie, Pere Marquette and Hocking Valley railroads. The Richmond bank- ers take the ground that the terms of the new. Nickel Plate proposal still are unfair to owners of C. & O. stocke] and present exhaustive figures to sup- port thelr claims. In case the sec- | ond proposition comes before the In. | terstate (‘ommerce Commission for approval in its present form the minority shareholders say they will again present vigorous opposition to the merger. In 1925 the five roads earned a gross operating revenue of $338,769.000, and during the first seven months of this vear showed an increase in this ftem of $11,745,000. If this ratio is nelther increased nor reduced during the rest of the year, the Richmond bankers say, the 1926 gross operating revenues will reach $370.514.000, or more than $1,000,000 a day. It is assumed that after all operating expenses, taxes, equipment, rentals, etc.. have heen paid there will be the sum of $49,- 230,000 applicable to dividends. The circular states that the C. & O. will he expected to contribute $29,873,000 o this sum, or more than 60 per cent, but asserts that the C. & O. Will not get nearly 60 per cent of the stocks of the new company. Hold- ers of the stock will be guarantsed 5 per cent on the new stock, the state- ment says, adding that C. & O. stock At present is earning 25 per cent. Loss of Control Stressed. Another point discussed s the amount of coal the Chesapeake and Ohio transports. It {s expected the carrier will this year move 57,500,000 tons. “What. advantages.” the cfreu- lar asks, “accrue to the Chesapeake and Ohio for turning over this enormous traffic to the new Nickel Plate ('0.? Could it not barter and trade this traffic at the Ohio River gatewavs for traffic in return from other roads to better advantage than by tying itself up to the exclusive control of the Nickel Plate Co.?
