TRUMBULL STEEL AUDIT DEMANDED Bond Issue Proceeds of Company Withheld Pending Merger Plan OQutcome. Ry the Associated Press. 1 CLEVELAND, September 1.—An-| nouncement was made last night by John A. Elden, Cleveland attorney, that hef would file suit in Trumbull County, Ohio, to compel an audit of the books of the Trumbull Steel Co. of Warren Ohio. Mr. FElden states he is owner of 100 shares of the common stock of the company and although he has tried to learn the financial condition of the company he has not been able to do so. A proposed merger of the Otis Steel Co., Cleveland; the Midland Steel Products Co., Cleveland, and' the Trumbull Steel Co. was recently an- nounced. Stockholders of the Trumbull Steel Co. will meet at Warren tomor: row to approve appointment of a spe cial committee headed by James A. Campbell, president of the Youngs town Sheet and Tube Co., to control the company's affairs. Bond Proceeds Withheld. NEW YORK, September 1 (#).— The New York Times says that the fight that has developed over plans for a $110,000,000 merger of the Trum- | bull Steel Co., the Otis Steel Co. and | the Midland Steel Products Co. has resulted in the National City Co. with- holding the proceeds of a $17,500,000 bond issue of the Trumbull Co., ac-| cording to an announcement made b; J. Kulas, president of Otis and Midland. Conflicting reports regarding the status of the merger plans were re. ceived in Wall Street vesterday. It was | announced that J. A. Campbell, presi- | rent of the Youngstown Sheet and Tube Co. would head a committee to operate the Trumbull properties. No_information was obtainable at the offices of the ational City Co. yes. terday concerning the status of the Trumbull bond issue. There was dis- cord at the time the issue was floated the last week in July when a number of the directors and stockholders of the Trumbull Co. tried to halt the ne- gotiations of Jonathan Warner, presi dent of the company, with officials of the National City Co. Personal Pledge Regarded. The deal was closed. however, both Mr. Warner and the bankers assert- Ing that the former had full authori- | ty to arrange the 500,000 loan. | One report at the time that Mr. | Warner had pledged his personal for- | tune in behalf of the loan. The issue, bearing 6 per cent, was offered to the | cost the lives of 44 members of a | | triotic societies of this State. public at 9715 to vield 6.25 per cent, the bonds to mature in 15 years. | Since then the situation has become | tangled by talk of a_merger with Otis and Midland. According to Mr. Kulas, the National City was to have paid the proceeds of the $17.500.000 loan to the Trumbull Co. last Friday, and he said this had not vet been done.
