NEW YORK, June 2.—Thomas L. Chadbourne, attorney, late yesterday announced adoption of a plan where- by the properties of the Midvale Steel and Ordnance Company, Republic Iron and Steel Company and Inland Steel Company will be unified under ownership of Midvale. The name of the new corporation will probably be the North American Steel Corpora- tion. Merger Terms as Outlined. The terms of the plan Were out- lined as follows: “All existing obligations of the three companles are to be assumed by the unified company. Existing pre- ferred and common stocks will be changed into preferred and common stocks of the unified company. The new preferred stock is to have a par value of $100 per share, is to be 7 per cent cummulative, is to be redeema- ble at $115 per share and accrued dividends and is to be convertible for twelve years into new common stock at the ‘rate of five shares of new common for four shares of new pre- ferred. The common stock is to be without par value. “All assets of the three companles are to be owned by the unified com- pary except the Nicetown plant (ar- mor-making, ordnance and forging) of the Midvale Steel Company, which is to be transferred to a separate company with a capital of 500,000 shares without par value. INDIANAPOLIS, Ind., June 2.— Adoption of a platform, condemning republican management of - national and te affairs and nomination of ten candidates on a state ticket, for which there were only two contests, marked the state conventfon held yes- terday by Indiana democrats.
