THE CHICAGO DAILY TRIBUNE: MONDAY, JANUARY 27, 1873, THE GREAT WESTERN. The Eventful History of a Tolograph Compunys Extent of Kts Line---Its Operations, Lawsuits, Etc. Terwiliger va, Tho CGreat Westorn Telograph Company. Stockholders’ Meeting to bo Hold on Tuesdny. Tho moeting of tho stockheldora of the Great Westorn Tolograpt Company, which is called by the Presfdont aud Secretary for Tuesday of the prosent weok, is a mattor of considerablo intor- et 1o the public gonerally, not meroly from tho faot thot tho Compauy proposes tobo o otrong compotitor for the public patronago of tho Wost- e Unlon Company, but alko bocatiso it 18 tho result of a long chancory sult, which hna had its run to tho Supromo Court and back, the object of whicl Ing beon to dotermine, it possiblo, the rights of slockiolders ; whilo tho influence of tho litigation and conclusion may havo a largo infiuence on many corporations of Jike chnractor: Tho meeting which 18 to ocour on Tucsday ks for tho olection of o now sot of Diroctors, and i3 in accordanco with the docres of the “Cireuit Court 6f Cook County, pursuantto tho diroc- tionsof tho Supremo Court of this State, a8 givon in Torwiliger v. Oreat Westorn Tolegraph Com- pany. Tnordor that tho wholo subjoct mey bo fully undorstood by our roaders, o history of tho somowhat irrogular formation of the Company ehonld bo given, ag well a3 its subsequent oper- ations nud troubles, It was in Decombor, 1807, that Selah Reovo and six other porsons got their honds togethor to £orm, under tho aot of 1849, o corporato ‘company to bo known as tho Great Westorn Tolograph Company. Tho nrticles of nscociation were duly signed by thom and filed in the offico of the Sccrtary of Ststo, and thoy recoived tho propor cortificate. The capital atock wna put at §3,000,000, divided into 120,000 ebaron of $35 onch. Tho corporators, bosidea Solah Reeve, were namod as follows : Valontino Y. Gardnor, John Hell, Dwig.t Johnson, and Hasbrook Reevo, of the Cily of Now York ; and David A. Gago and Josish Bnow, of Chiongo. Gardnor, Hall, and Johnson twero described in tho articles 0y Lolding oach ono sharo, Snow ns holding 1,000 shares, Gago 1,000 sharos, Hasbrook Roove 100 sharos, and Belah Reove 117,897 shoros, thus making tho antiro 120,000 shavos, ‘This stock wau purcly fictitious, as no money was paid by any of them, aud tho stock, therefore, roprosontod no valuo. On the 13th of January, 1808, tho corporators met, and Gogo, Suow, Hall, Hasbrook Reovo, and Solah Reevo wore olocted & Board of Direct~ ors, of which Gngo waa ‘elected Prosidont, Bolah Reove soon alter regigned, in order to enable Timself to mako n contract with the Company, which was ps follows: That Roeve was to build 2,000 milos of lino ou routes to bo dosignatod by tho Compsany. No time for complotion of tho work, or rato of compensation por mile, was fied; but the Company agreed to transfor tho entire stock to Reove on tho exccution of tho agreomont. This contrack wai mado on tho 25th of March, 1608, Tho whole 120,000 sbares were now put into tho hauds of Snow, who lind beon olected Secrotas and Treasuror of tho Gompany, in trust for Sola] Tteova to sioll tho same at $10 por sbero, and to pay the procecds to Roove under his dontract Wiili tho Company. Reeve was tcfuava 8300 por mile, which sum, s shown by ovidence pro- ducat, wos largaly in excess of tho cost of cons siructlon. Toove deferred, as we aro informed, the commencemout of tho axecation of thia con- tract, until moneg.oould bo raised from tho enle of stock by Stow, or his agents. In ordor to cliolt the “confidenco of tho gu\llic, and obtain slibgeriptious and monoy, thoy proceoded to clect twenty-two additional Dircctors from nmony tho moat roliable and Dest-known citizons in Chicago, who, howover, wore not stockholders, Thon s prospeatus wag iemned, stating that tho Company was organized under Btato Inws and an act of Congress for the Burposo of chespening tolograplo corrspond- once in tho West ; that tho stock was Sfl,nub,ul}o, divided into shares of 825 cach; and that, upon tho pnfimcnz of §10 on ench sharo, a cortlficate of gtock for 25 would bo iesued, and no furthor agsosamnents mado. It may be well hore to remark that, prior to the election of the twonty-two new Directors, tho old Board had adoptod by-laws, Tho firsh ono provided that the first adnual meotjng of tho stockholders of the Company should be hold within ninety dnys nftor 2,000 miles of tho Company's linos had boon eduipped witli wires. Another by-law provided for the clection of now Directors whenever any number of shareholdera \xn]lliufi o majority of ihe sharcs should presout a writton request ad- dressed to tho Presidont, for n meeting of sharelioldors for that purpose. Theso by-inws, being of such vital impartanco, wWaro, howevar, not mentionod in tho prospectus.’ It will bo acen that by the two by-laws steted was an ar- yaugoment~ by which Resve could complete, whet s now charged as an unconscionablo contract beforo the subaoribers, whose money was takon to pay him, could have an opportuns ity to question its validity ; and it also placed the coutrol of tho Compsuy in the hands of Teevo and hig trusies until over 8000,000 should Do aubeeribod, which was, perhaps, putting tao much money and too many interests in tho un- bridled contral of two men. Dy moans of this prospectns, and the eolicita- tions_of ngents, lorge suns of monoy were raised; and induly, 1809, the books contained tho namos of nearly 2,000 subscribors to stock.. Wheu the monoy bogan to_como in, Reeve bo- gan to build lines and to deliver tho samo ovor 10 tho Compnny. ty It was not unnatural that among tho many poreows that, hought stock from Bnow, thure should be some who would' vory soon bogin to inquiro into tho managoment of the Company, sud as to thoir rights by virtuo of the atock Leld by thom, Among tlicso porsons was one Jeremiah Terwilliger, Ho took ono hundred sliares, and paid $600, loaving & bnlance to be Eam of 400, to complote tho 40 por cont. In ovomlor, 1869, e wontto tho offico. of tho Company {n Chicago, and roquestod azcortificata of stock to the mmount of his payments. Ho was told that cortificates” conld not Do lsgned until . tho full paymont of 40 por cont wns mnde, Ho_then olfercd to pay tho 40 por cont, and was told that ypryments \would not bo received faster than they vero called for by tho Directors, Tarwillizor being thus rofured his cortificates of stock, filod s bill in the Uireuit Court of Gook County in behalf of himself and othor stock- holders who might chooko to como in and bo mado partjes, 1lo tendored paymont of balanco duo on his subseription, aud askod that he be de- oroed bis certificato of, slock, that the contract betwoen tha Cum;mn{ and Bolah Koove should boget agide ny fraudnlont, that tho defendantn bo decroed to account for the excoen of money pald Reovoe, abovo the cost of butlding tho lings, that o seelvor bo anpolated, and, for general roliof, Tho Tolograph Company”was mado a defendant, es nlso Solah oove, Snow, and Gage. Abouf thirty stockholders camo in, and wors maado _complafnants, Tho only reliok granied by the Circutt Court was o docroo for tio issuolof cortificates of stock on ten- dor of tho balence dus, Terwilliger was dissat~ isfled, and appoaled to the Bupreme Court. That Court, after u careful reviow of the wholo case, and whilo casting some severoe reflections upon tho mansgers of ithe Company, roversed tho da- orea of tho Oirenlt Court, eud romended tho eunuso, giving dircotions to the Court bolow ns follows: Tuat the Court swill Tondor & docrs Rofting salde all tho coutraets wndo between the Company and Selali Ticove, 1t will aacertala whiat, amoutl of monoy bas boon pald by the subscribors to otook, It will direct the Drosident und Becretary of the Company Lo fauue cortificatos of steck 1o all subscribora w}m Liave patd Ahelr monoy for av many ehores ox they aro entitled to for tho monoy pald, feckoning forty por ceut pald upon twenty-five dollirn ta giviug ttlo to g share, 1t Wil Giroot tho Presidout and Becrotary of tho Gome any to call sn_election of o now Boaril of Directors, £ vtich stockholders, at such timo and placo, and on sitch notice, ot tho Court shall fhink propor, at whieh elaotion only the holdors of actual stock dubscribed snd_pald for wiil Lo sllowed to vote, Unlees wuch nowly-clocled Board shall make on ainfcablo #cltios structod by him, and ofton allowlsig him such cont, snl o reaonnblo compenration for hia tima and labor, Will ‘enter n docres ngainst hin for any excoss of money ho may have rocelved from the Coinpany, to bo i o tho Lrensurar appolnted Ly hio now Toard of ircctors, Itwill direct the Pronident and Sccrotary of tuo Gorapany to produco bl books and pavers thet Tiny bo fonuired bofors tho mastor oF 1 corh, and. From an_oxsmination of tho working of this Company, tho conduct of tho Corporators n(lxr penrs to hnye beon quite inconsistent with the {nturaulu of thoso whoso monoy was actually in thoconcern, It ia nlloged that Bolak Roovo was not likely, in com.mctluf‘ with his follow sohom- ors for tho bullding of tho 2,000 miles of line, to mako n very disadvantagoous bargain for him- wolf, a8 Lo hiad no ono to combnt Lis intorost, and’ tho money which was to pay bim was to como, not out of Limaclf, but out of bona fide subsoribors, who had pald tho cash, and Who woro really tho only porsons who could possibly bo ontitled to bhavo any intorest in the management, as only tholr cn;gitnl was Invosted. But thoy were not permitted to eny ono word ng 1o tho charactor of theso contraats, and woro to Lo obliged to submitto this taxation without oven tho u?{loxmuiiy of subsoquent, offootivo critiolsm, {s plain to bo soon that thore waa no’nguuy in thin arrangomont, and that it was n fraud upon_ thoso who were to bocomo the ronl parties ln{nrnntl and tho Qourt vory wisely Dut its fook upon fhe proceeding beforo it Lnd adyanced ta complation, Tt has always beon inid that poople disposo of {lso monoy belonging ta othora with groater carc- lessnoss and mmi than thoy would if thoy wore sppropriating their own me , and o8- peclally is this tho caso when tho wholo oin is to him who_diapases of tho money considora- tion. This was hngmsltlnn of Roove and Bnov, and thoy took gront fmins to feathor thoir own nest. Holah Reove has boon paid §800 o mile for all the completad lino ho s delivered to tho Oompany undor tho contract; and necording to his = denign, by tho complotion of tho wholo 2,000 miles, tho Comvany would Dhiavo boon flecced of neaxly all its 120,000 sharos, and would have hiad scarcoly moro than thio baro linea on its hands, whilo tho munn{ would havo gona Irrovoeably into tho pocket of Reove. Thia Was fun ta Reove, but death to the Compiny. Ttis now sougbt fo put tho stocidholdors i pos- sossion of thoir rights, and to give thom the op- portusity of dirccting what 18 really only thalr Eifair, Solah Roovo's gigantio flnancinl oporation Tiao boon nippod in the bnd, and ho is askod to moke up to tho Captain’s ofico and sottle. Hoving done this, aud J’Md back to the Com- pany tho oxcess ovor and above a fair compon- botion for tho linos built by him, the corpora- tion will thon bo upon o solid basis ready for cosrect mansgement, and bo made undoubtedly to bocomo 5 Buccossfully compating lino with the Weatorn Union, & consummation greatly dosired Dy all who have bocame subscribors to its stock. I'ho Western Tolograph Company now has lines runmning from OChicago to Milwaukeb, from Chicago to maha, from Omalia to Lincoln City, Neb., from Omahs to Kanoas.City, from Ohicago to Bpflnffluld 1., and from Bloomington to Decatur, 1., {n ail about 1,700 miles, Thero aro atill noeded to couploto tho cizctit ebout 300 miles, being tho dintance from Kansns City to 8t. Louis, and from Bt. Louls to Sprivgficld, 1, When thia circulb ia compleled, tho lines may easily bo made to poy largo dividends, At tho prosout timo tho Btock has no market valuo, aud tho lines are scarcoly paying office exponses. Of tho stock about 50,000 ehares havo boen sold, roprosentod by nenrly 8,000 stockholders, of whom about 1,000 have pafd in full their 10 on each sharo, ho attendance at tho stockhold- ors’ meeting will undoubtedly bo large snd quito oxciting.
