Schultz, state superintendent of schools, appropriate exercises were held in various schools today. ST. HILAIRE COMPANY MAKES SEVERAL CHANGES Grand Forks, N. D.,, May 18.— Grand Forks has been made the cen- tral headquarters for the St. Hilaire Retail Lumber company and W. E. Small, formerly of Grafton, has been transferred to this city and made su- perintendent of all North Dakota and Northern Minnesota yards. NAVAL MILITIA HAS A HOSPITAL CORPS Lieutenant E. A. Barker of the Be- midji Naval Militia has appointed a hospital corps for the Minnesota militia from the Bemidji division. PAUL PLANS BIG PREPAREDNESS PARADE St. Paul, Minn., May 18.—Some Saturday afternoon St. Paul will stage a preparedness parade that will have the same object if not the same magnitude, as New York’s parade. Jesse A. Gregg, president of the St. Paul branch of the Security League made this announcement today. COMMERCIAL TEACHERS MEET IN MINNEAPOLIS Minneapolis, Minn., May 18— Commercial efficiency will reign su- preme through Minneapolis during the three days of the Central Com- mercial Teachers’ association conven- tion which opened here today. John R. Gregg, originator of a system of shorthand, will speak this evening on the value of stenography. ARTICLES OF INCORPORATION OF THE RED LAXE NORTHERN BRAIL- WAY AND CONSTRUCTION COM- Know "all men by these prasents, that we, the undersigned, desire to form and organize a corporation under and pur- suant to the general laws of the State of Minnesota, do hereby associate our- selves together as such corporation and to that end adopt and sign the follow- ing articles of incorporation, to-wit: ARTICLE 1. The name of the corporation shall be the The Red Lake Northern Railway and Construction Company, and the gen- eral nature of it's business shall be to build, maintain and operate railways with steam, electric or gasoline power, telegraph and telephone lines along it's railways, with all usual appurtenances, from Alida, Minnesota, in a northerly direction past the west end of Red Lake to the Canadian boundary at, or near Lake of the Woods, and from Alida, Minnesota, south past the Itasca State Park to the Twin Cities, with the auth- ority to construct branches and exten- sions as may be hereinafter determined upon in accordance with the law within the Tnited States or Canada, and also (power to build, own and op- erate or lease freight and _ pas- pasengers boats upon Lake of the Woods or Rainy River, Red Lake or. any other waters connecting with our lines, to be run in connection with and as feeders of said Company’s Railways, with power to buy, sell, own and de- velop townsites and industrial sites along it’s lines, and with power to lease from other Railroads or Corporations, trackage or running rights, for long or short periods in connection with and as feeders of the said Company’s Railways, and to acquire and hold stock and bonds and securities of any Railroad Company organized under the laws of the State of Minnesota or any other state or any foreign country, for the purpose of building lines either in the United States or Canada: Intending to take all power conferred by the statutes of the state of Minnesota to aid, assist, acquire or consolidate, with any corporation own- ing or controlling such connecting and extending lines. The principle place of transacting the business of the Company shall be in Bemidji, County of Beltrami, State of Minnesota. ARTICLE 2. The time of commencement of said corporation shall be the first day of June, 1916, and the period of it's con- tinuance shall be ninety-nine years thereafter. ARTICLE 3. The amount of the capital stock of the incorporation shall be one hundred and fifty thousand ($150,000.00) Dollars, the same shall be paid in at such times and in such installments as the Board of Di- rectors shall <etermine. ARTICLE 4. The highest amount of indebtedness or liability to which the corporat!on| shall at any time be subject is ten mil- lion ($10,000,000.00) Dollars. ARTICLE 5. Bagley, and the government of the corporation and management of it’s affairs shall be vested in the Board of Five Directors, who shall be.chosen annually by the! stockholders at the annual meeting which shall be held on the first Tues- day of September of each year, and un- til such election is held the government of the corporation and the management of it’s affairs shall be vested in the above named first Board of Five Di- rectors. ARTICLE 7.
