The City of Seattle took possession of the street railway system April 1, 1919, under a contract containing the following clause: “That state, county and municipal taxes levied against the property for the year 1919 shall be paid before the same shall become delinquent, by the re- spective parties hereto in amounts proportional to the respective periods of time that said parties are respectively in possession of said property during the year 1919.” State, county and municipal taxes were levied against this property for the year 1919. As shown by the statement of the county. treasurer, these taxes with interest on May 3, 1924, amounted to $649,648.77. Of this amount approximately $290,000.00 represents the tax, with interest, which the city itself levied against the street railwa system for the year 1919. : The city is now attempting to repudiate this clause in the contract and compel this com- pany to pay the entire tax. The city refuses to pay its proportion of the state and county levy. It goes still further and seeks to compel the company to pay the tax. which the city itself levied against the street railway and which if paid will go into the city treasury. The company was in possession of the street railway property only during three months of the year 1919, or one-fourth of the year. The city was in possession of the property nine months of the year 1919, or three- fourths of the year. The company has offered and is willing to pay its one-fourth part of these taxes as pro- vided in the contract.
