VALUATION DIMINISHED Organization of the San Fran- cisco Gas and Electric Company. CAPITAL, TWENTY MILLIONS. Allotment 2nd Reservation of the Shares Now to Be Issuel With- out Exchange. A meeting of the directors of the San Francisco Gaslight Company was held yesterday afternoon at the office of the corporation on First street. A notice has been published calling for a speciai meet- ing of stockholders on Monday, October 2. The purpose and object of the meet- ing is to consider and act upon the propo- sition to diminish the capital stock of the corporation from $10,000,000, divided into 100,000 shares of the par value of $100 each, to $300,000, divided into 100,000 shares of the par value of §3 each. The steps now taken to diminish the capital stock of the company without re- ducing the number of shares will be understood when the details of the con- solidation with the Edison Light and Power Company are considered. From a circular letter which the presi- dent, Joseph B. Crockett, has addressed to the stockho!ders the following extracts are made: “For some time past there has been sharp competition in the lighting business between the San Francisco Gaslight Com- pany and the Edison Light and Power Company. The boards of directors of the two companies, realizing that possibly in the future this might lead to serious loss to both companies, and that the business of furnishing light and power should be controlled by one management, and thus effect a large saving in the general man- agement, establish more uniform rates between gas and electricity and in many other ways curtail expenses, have deemed it advisable to form a new company, to be known as the ‘San Francisco Gas and Electric Company,’ and to transfer to this new company all the property of the other two.”” Mention 1s made of the patient investi gation of the affairs of both companies, the experting of the bouks and the inspec- tion of machinery, and this general plan of consolidation is recommended. “The new company, to be formed from the other two companies, to be called the San Francisco Gas and Electric Com vany, capital stock $20,000,000, of which $10,000,000 will be issued to the stock- boiders of the San Francisco Gas Light Company, $2,750,000 to be issued to the stockhoiders of the Edison Light and Power Company and $1,066,666 to be placed in trust in the hands of a trustee selected by the directors of the new company, which said stock is to ‘be piaced in escrow for the purpose of redeeming the out- standing bonds of the Edison Light and Power Company. All the remainder of the stock is to be heid in the hands of the company, and will not be issued unless necessity requires the same for the: en- largement, extension or improvement of the plant.”” It seems that when certain bongs of the Edison Light and Power Company were issued the holders were given an option to exchange the bonds for stock within a period of ten vears. Five years’ time has elapsed, but during the next five years some ol the bondholders may elect to take stock, hence the reservation of $1,- 066,660. The unissued stock, amounting w $6,183,334, may be issued in the future should the expansion of the City require an enlargement of the plant and extension of lighting facilities, The San Francisco Gaslight Combpany having but its current monthly debts to pay could disincorporate and go out of business, but as there are real estate and other assets, such as the property at the foot of King street, remaining in the cor- poration it will not disincorporate, but will reduce its capital stock to $300,000, which is sufficient to carry the real estate unsold. The stockholders will formally cunsider this proposition at the meeting on October 26. President Crockett’s circular to the holders of the stock of the gas compaany says: “It will be neces for all the stockholders of the San light Company to surrender their present stock and to receive in exchange therefor an equal number of shares of stock of the San Francisco Gaslight Company repre- senting the real estaie interests, the par value of which will be $3 per share, and also to receive the same number of shares of the Sun Francisco Gas and Electric Company.” The president holds that with econom- ical management the new company will be able to earn and pay a fair dividend and gradually be able to reduce the price of light to the consumer. LAKE TAHOE EXPEDITION Leading Railway Men on a Journey of Observa- tion. A Railroad From Truckee to Taho: City May Be Con- structed. Last evening a party consisting of Col- onel C. F. Crocker, Julius Kruitschnitt, C. B. Alexander, William F. Herrin, W. H. Miils, Jerome A. Hart and Colouel J. B. Wright lett for Lake Tahoe, via Placerville and Strawberry Mountain. They will drive leisurely over the mountain roaa from Placerville to the lake. At Tallac they will board the steamer and proceed to Tahoe City, returning to San Francisco via Truckee. Colonel Crocker said yesterday that the Southern Pacific Company had no plans in view for railroad extension from Piacer- ville to Lake Tahce. “We are going,” said Colonel Crocker, “‘from Placerville to Lake Tahoe for the pleasure of the outing. No plans of railroad extension in this re- glon are in contemplation. We expect to ave a good time on the trip, and that is all there is in it.” Lake Tahoe is attracting an unusual number of visitors this season. It is the talk up there that a railroad from Truckee to Tahoe City, a distance of fourteen miles, will be constructed within eighteen months. William Greer Harrison has made two yacation trips to Tahoe this season. He says that if this magnificent lake, with the beautiful mountain scenery { rancisco Gas- | surrounding it, were in any other partof the civilized world there would be a thou- sand villas from which the changing colors of the water could be viewed. Mr. Harrison is sure that a railroad will soon be built from Truckee to Tahoe UCity. Data came into bis possession recently which convince him that capital can be procured to construct the road. On the proposed line from Truckee to Tahoe City there are few natural obstacles to the construction of a railway. Mr. Har- rison understands that the plans under consideration by capitalists contemplate the erection of a fine hotel near Tahoe City. ——————— Grand Larceny Charged. Kate Murphy, 348 Minna street, swore to & complaint in Judge Joachimsen’s court yester- day, charging John Dougherty, an employe in Brown’s hardware store, Fourth and Market streets, with grand larceny. She said Dough- erty was sent to her house a few days ago Lo do some work and after he departed she missed a diamond ring valued at $150, a sealskin purse worth $12 and her bankbook. PACIFIO COAST BONDS. The Los Angeles Chamber of Commerce, Board of Trade and the Merchants’ Association make & showing that within five years $15,000,000 have been invested in new structures in Los Angeles. Bonds will be issued by West Palmdale, the re- cent election having suthorized such issue. The Supervisors at_Flags:aff, Ariz., have levied 36 cents on each $100 vaiuation of real and per- sonal property in School District No. 1, Flagstaff, for the payment of interest on the school bonds of said district, and a like tax of 35 cents on the dol- lar has been levied on Schooi District No. 2 at Williams, 10 create a sioking fund and for the payment of interest of the bonds of the district. The Los Angeles Times says that the banks in Los Angeles County have been calling in outside loans, and as & consequence there has been an in- crease in the number of mortgages, the people bor- rowing money on their real estate. Forsmall loans on City property, running from $200 to $800, 10 per cent net is asked. THE STOCK MARKET. Prices for Comstock shares showed little varia- tion yesterday. Business was rather better in several stocks, though not active. The Sierra Nevada assessment falls delinquent in office to-day. The Savage official letter for the past week states that on the 850 level of that mine & streak of fair- grade ore 3 feet In width has been found in the face of thesouth drift. This leiter also states that the work of cutting out a station on the 400 level of shaft 1 on the Brunswick lode is progressing with all possible dispatch, while on the 300 level of the Brunswick workings the joint Savage and Hale & Norcross north drift, having reached the south boundary of Savage ground, has been taken charge of by the Savage people and extended 15 feet, the face being in porphyry and slips of clay. BODIE CONSOLIDATED—200 level—Gildea raise advanced 5 feet. ‘ihe vein faulted. but has been found again on the foctwall containing 10 inches of good rock. 300 level—The Hurgess south drift was advanced 9 feet, and has about 2 inchesof g0od ore in the face. 400 level—The north drift bas been retracked preparatory to doing alittle work in various parts of this grouud. Are stoping north and south of the Glldea raise on the 20! level, and north on the pillar on_about the 300 level of the Burgess leage, and north aoout on the old level on fillings in the Fortuna 100 level. Fx- tracted during the week from the 200 level of the Gilde, 300 jevel of tve Burgess and 400 level of the Fortuna a total of 17.5 lons of ore, assaying percarsample $12 to $47 perton; true average 826 per ton goid BULWER CONSOLIDATED—200 level—Stopes 10 and 11 above No. 2 crosscut still continue about the same. On the tunnel level the ore i raige 1 is wider and the stope exiends further south than the ore below It, bu the grade is lower. Raise 2 has completely pinched. aud, though followed some dis:ance, bas uot improved. The sonth drift from crosscut 8 has been driven 8 feet on the seam, cutting the crosscut south, with no particu- lar change. Are clearing out an old raise on the 200 level, 40 feet south of the shaft, in the hope of coming across something of value in a region of which we know nothing. Extracted during the week a total of 11.7 tons of ore from the 200 level and the tunne! openings, assaying per car sample $16 to $52 per ton: true average $36 per ton. Shall begin on Monday (September 7) miiling ore in Stan_ard mill. Moxo—On Bodle 400 level the south drift in the Fortuna veln was savanced 9 feet, showing 14 inches of broken low-grace quartz. STANDARD CONSOLIDATED—MII! statements for week ending September o: Ore crushed, 32 tons for Bodie Consolidated and’ 225 tons for Standard Consolidated: average daily crushing, 36 3-7 tons: | average mssay vanner tailings, $6 06: concen- trates produced. 1 ton; assay value $66 80; plate amalgam produced, 570 ounces. Tailings—Plant 2 worked 307 tons for the week. Tailngs—Plant 1 worked 238.1 wons for the same period. The joint Confidence, Challenge® Consolidated and Con-oiidated Imperial west crosscut 1 from the surface tunnel Is out 698 feet, having been ad- vanced 15 feet during the week. The face shows porphyry. West crosscut 3 from the sur- face tunnel is being repaired. CrowN PoINT—Work was resumed {n the mine on September 8. Repairs on the 600 and 700 leveis have been made since then, and an east crosscut started from the south lateral drift on the 700 level, near the shaft station. .Are timbering in the raise from the 700 Jevel in the south end on the eleventh floor. The usual work in the shaft is under way. The vield of the Belcher mine for the past week was 62 mining carloads of ore, the average top sample of which showed an assay value of $19 15 per ton. Shipped (0 the Brunswick mill during the week 151 tons and 1190 pounas of ore, making the total quant-ty of ore now on band at the miil 361 tons and 910 pounds. Full returns of this ore Wil be given as 800u as 1t is worked. The yield of the Coufidence mine for the past week Wwas 15 mining carloads of ore, the average top car sample of which assayed $18 94 per ton. No ore was taken from the Overman mine dur- ing the past week.
