BE IT ORDAINED BY; THE CITY COUNCIL OF THE CITY OF OMAHA: SECTION 1. That the City of Omaha hereby authorizes and enters into a contract with the Omaha Electric Light & Power Company for the lighting of streets, alleys and publie places of the City of Omahs, and the Mayor of said city and the City Clerk of said eity are hereby authorized, empowered and directed to sign, execute and deliver a con- tract for and on behalf of the said city. SECTION 2. The said contract to be in form, words and figures, following: “EXHIBIT A™ THIS AGREEMENT made and entered into this..... vevsees day of by and between Omaha Electric Light and Power Company, hereinafter called “company,” sud the City of Omaha, hereinafter called “eity,” WITNESSETH: WHEREAS, streets, alleys and public places of the said city have been illuminated by & aystem of 6.6 ampere series carbon arcs and 10 ampere flaming are lamps through- out a portion of the business section, supplied with energy from aerial conductors and from underground cables; and WHEREAS, the city desires to procure more electric lamps for this purpose for the aggregate sum available for lighting streets, alleys and public places. NOW THEREFORE, said company agrees that it will install, at such places as the city may from time to time during the life of this contract designate, 16 ampere series incandescent type C Mazda lamps of that size designated by the manufacturer as a 400 candle power lamp, and maintain and operate the same every night from dusk to dawn during the period of this contract in accordance with its terms; Said eompany agrees to install the above mentioned incandescent lamps in the fol- lowing three months: First—Lampe will be hung from center suspensions or mast arms and supplied with curreny {rom overhead conductors. Second—Each lamp will be mounted on an/ ornamental iron post and supplied with current from conductors laid in underground conduita. Third—Two Iamps will be mounted on esch ornamental fron four posts to the bloek, placed on opposite sides of street so as to produce the most efficient illumination, and supplied with current from eanductors laid in underground conduits. And any light not up to the standard as provided herein will be con- sidered as not burning and shall be deducted as outage, as herein specified. as to The company agrees that in placing its eaid lights in position, in digging and ex- cavating in the streets, in erecting poles and wires, in making repairs and in doing any other act required by ol ance of the city, or in the use and maintenance of its structures and plant, it will carefully observe and comply with all ordinances of said eity, and will also indemnify and save the city harmless against all suits and actions brought against it for any injuries or damage sustained by any person or persons by reason of the main- tenance of said electric lights, wires or poles, or other structures or parts of the com- pany's plant which shall be due to negligence of the company orits failure to do or per- form any of the said acts or things, and will, on demand therefor, provide said city with a bond conditioned for the performance of the duties aforesaid. It is further agreed by and between the parties hereto, that for every failure or neglect to light any of the said lamps or when any such p or lamps when. lighted shall fail to meet the above requirements as herein mention said city shall deduct as “outage™ the proportion of the rates above mentioned for the time such lamp or lamps shall fail to burn or meet the sbove requirements, and the amount of sueh “outage” be ascer- tained each month and deducted from the amount payable by the city in the following month. / It is further mutually agreed by and between the parties hereto, that the said eity shall, within ninety (90) days from the execution and delivery of this contract, d the location of the lamps to be maintained and operated by the company under this agreement: and the company shall, without unnecessary delay, install such lamps in ac- cordance with such designation. It is the intention of the company and the city that the streets of Omaha shall at all times be properly and adequately lighted, and as & considerable length of time will be required to install the lamps provided for in this contract, the company agrees to keep the waid carbon and flaming arc lamps now used in lighting the city streets in regular service and use as at present, until such time as they may be replaced by the new lampes provided for in this contract: and the city agrees to pay for sid are lamps, while in use, at the rate now paid per lamp per year. 1t is mutually agreed that all lamps shall be located at the places designated the city council; but if after location and installation, the eity counecil shall desire to the location of any lamp or lamps, the company shall make sach change or removal, the actual cost of the same Lo be borne by the city. D Whenever the city shall, under this eontract, direct the e y to install any lam or lamps, the company shall enter upon the work of such installation at once and shall proceed with the work without any unnecessary delay. 1t is further agreed that the company shall furnish and install on all lamps, supplied with energy from underground conductors, when and as the eity couneil. T The said city agrees to pay to said company the sum herein provided for the main- tenance and operation of the said lamps in equal monthly instaliments, payable on the 26th day of each month during the terms of this contract. 1t is further agreed that if the city shonld, at any time during the life of this eon- tract, acquire all the property of the company, then future profits, if any, which other- wise may have been realized from the performance of this contract by the company, shall not be considered and allowed as an item having any value to the company, It is further agreed that this contract shall be and remain in full foree and effect for the period of five (6) years from the date of the execution and Celivery thereof.
