In the presence of oficlals of the Wabash rallroad, the Omaha & St. Louls rallroad and the attorneys of the bondholders of the Iatter road the Omaha & 8t. Louls railroad, including all rolling stock and property, was sold at the east end of the frelzht depot of that road at Council Bluffs Satur day by Robert H. Kern of St. Louis, speclal master in chancery. There was but one bid, that of E. W, Sheldon ‘of New York, on behalf of Willlam Emlen Roosevelt of New York, chalrman of the purchasing committes of the bondholders. He bld $1,260,000 and the property was Knocked down to him. This sale places the ownership of the Omaha & Bt. Louis raliroad in the hands of the Wabash railroad, an agreement having been entered into between the latter com- pany and the purchase committee of the bondholders whereby the committes is to transfer title as soon as the sale to them is confirmed. The basls of the settlement between the Wabash company and tho stockholders is not announced, but Presi- dent Ramsey of the Wabash states that tonds to the mmount of $3,600,000 will be issued on the new purchase and that $500, provements on the line. These improve- ments will include the relaying of present s with elghty-pound steel rails, purchaso ments at stations along the line. The sale made as the result of a in the case of the Guarantee Trust com pany of New York against the Omaha & St. Louls Railroad company April 2b, 1901. Ofcials of the Wabash and the Omaha & 8t. Louls roads arrived in Council Bluffs yes- terday morning in a special car and left the city shortly after the sale was made. The Wabash party included Joseph Ramsey, president; W. H. Blodgett, vice president: H. 8. Magee, goneral superintendent; Pryor, assistant to the president; P. 8. Winston, assistant treasurer; A. J. Woods. private secretary of the president. The W. D. Tucker, assistant treasurer; W. J. Stonebrenner, superintendent; W. B, Bres- eon, acting receiver, while Theodore Shel- don of Chicago and Edward W. | New York represented the bondholders' committee. Sale is Con med. The sale of the road to the purchasing committeo of the bondholders was con- firmed by Judge Smith McPherson in the United States circult court yesterday after- noon. The report of the sale was sub- mitted by Master in Chancery Kern. The decree {ssued by Judge McPherson provides for the payment of the receiver's certifi- cates amounting to about $50,000, a num. ber of preferred claims and the following: Charl H. Chappell, recelver, £7.500, James Hopkins, recelver, $5,000; Max Pam, | including services of J. G. Trimble ren- | dered the receivers, $10,000; Davies, Stone | and Auerbach, solicitors’ fees, $13.000; Jullus 8, Walsh, Breckenridge, Jones and Edward C. Wright, trustees and sollcitors, $6,250; Frank Agermann, solicitor fecs, $2,600; Guaranty Trust company, trustev feo, $2,000; Pusey & McGee, Council Bluffs_ | solicitors’ fees, $182.30. It 18 understood that the bondholders of | the Omaha & St, Louls, through the pur- chase by the Wabash, will receive about 80 per cent of thelr holdings. The bonds out amount to $2,653,000, and these will be | taken up by the Wabash issue of $3,500,000, which will also provide for the payment of the preferred clalms and sums as or- dered In the decree confirming the sale and the $500,000 to be expended on the im- provement of the road. Trimble Wants to Be Present. Judge McPherson had announced that he would hold court at 1:30 o'clock to con- firm the sale, but at the request of the Wabash officials, who were In a hurry to return home, it was held shortly after 1 o'clock. Judge Thayer of St. Louis had previously issued an order for the cone firmation of the A few minutes after Judge McPherson had {ssued the decree confirming the sale Chiet Engineer Collins of the Omaha & St. Louls recelved a telegram from J. G. Trimble as follows: ‘“Important that 1 should be present when report of sale is presented to judge for confirmation. Pusey submitted the dispatch to the court, but Judge McPherson declined to take any action. told Mr. Pusey that he under- stood the sale had been postponed from PFriday to enable Mr. Trimble to be pres- ent and that he could not delay matters now, seeing that Judge Thayer had or- dered that the be confirmed. The court informed Mr. Pusey that he would be here again on November 6, when the matter could be brought up and a motion filed to vacate or modify the order con- firming the sale, if thought necessary by Mr, Trimble.
