New York, May 4—Suit to restrain the New York Central and Hudson River Raflroad company from pro- ceeding with its issue of $100,000,000 six per cent. twenty year debenture bonds, which began May 1 was filed today by James Pollitz, a stockhold- er. Mr. Pollitz objects to the use to h the money is to be put, charz- ing that such use would be in viol tion of the laws of some of the states in which the company operates and protests against the terms upon which J. P, Morgan and company are acting as fiscal agents and arranging for the underwriting of the bonds. This ar- rangement he asserts, would result in the “payment of exorbitant and un- conscionable profits to the said fiscal agents and underwriting syndicate.” The railroad company, its directors {and the New York Realty and Term inal company, characterized mere mask to permit the railroad com pany to do business which a rail- road compan is not permitted to do under the laws of the states in which it is organized” and the realty com- pany’s directors are made defendants to the suit. Mr. Pollitz asserts that he is_ the owner of 120 shares in the railroad company and that he protested at the stockholders’ meeting in Albany April 20, and_demanded a. roil call and stock vote. This demand, he charges, was refused. At the office of J. P. Morgan and company inquiries were referred to the legal department of the New York Central. Manly, representing the com- mission, “to complete its record” of its investigation ‘into the Colorado coal strike. Frank P, Walsh, chairman of the commissjon, in a statement issued re- cently, claimed that a representative of John D. Rockfeller, Jr., had prepar- ed a letter to be sent by Governor Am- mons to the president on the strike situation. Governor Ammons later denied that Mr. Rockefeller or his rep- resentatives had anything to do with preparing any of the communications. In transmitting the refusal to the commission, Secretary Tumulty mere- ly stated the president did not deem it advisable to give publicity to the let- ters. RUSSIANS DEFEAT AND ARE PURSUING TURKS.
