THE ERIE RAILROAD TROUBLE. An Important Decision by the Attorney General—The Dissolution of the Erie Company Threatened—The Grounds of Complaint—Serious Questions of Cor= porate Power To Be Determined. Joun C. Angell, having commenced a suit against the Erie Railway Company, his attorneys, Barrett, Redfield & Hill, submitted the amdavits ana pa- pers in the case to the inspection of the Attorney General, with @ request that he should bring an action for the dissolution of the company in the name of the people of the State. This the At. torney General declined to do upon ex parte state- ments, and suggested that notice of the applica- don should be given to the Erie Company in order to give the company a full oppo; tunity to be heard. ‘Tois was done on the 8th inst. The company ap- peared before the Attorney General by its coun- sel, ex-Judge Shipman and William M. Evarts. Mr. John S, Hull representing Mr. Angell and ex- Judge Fullerton representing the Erie Protective Committee of London, adaressed the Attorney General at lengtu, and many aflidavits were read on both sides, The Attorney General has now decided that suf- ficient {ucts are proved oy the papers presented by Mr. Angell to justify the interierence of the Attor- amey General and he will forthwith commence suit to dissolve the Erie Company. ‘The grounds ior ‘this action are, briefly, the tllegal action of the com, y, frst, in purchasing certain coal lands With a view of mining coal; second, in purchasing the capital stock of the New York, Buffalo and #rie Railroad Company; thira, in leasing the At- Jantic and Great Western Kailway, and last, in | ‘the declaration of dividends. The Attorney General is careful to say that he does not impute bad faith to the directors of the company tn committing the excess of power com- Plained of. ‘fhe following is the decision :— In the Matter of the Complaint of John C, Angell vs. The Eri way Company.—ihe complainant makes application to tLe Attorney General for leave to bring an action against the Erie Kallway Company acd its direct- ors to compel them to account for their official conduct and ( restrain them trom using or usurping powers not granted to them by the act of incorporation. in ‘ction against the road and its directors might seriously aifect the interests not only of the corporation, but of rs stockholders and creditors, the Attorney General de- | clined to act upon the uitidavits produced by the com - plainant until notice had been given to the officers of the company aud they. had an oppor- tunity to heard. Having now heard the al- lexations pro and con, and duly considered the same, the Attorney Generai is of the ‘opinion that the coin: plainant has entirely failed to sustain ius allegations of gortuption and wiltul allegations of law on the part of the officers of the company. of the members of the bourd of directors tor honesty and Integrity is too well established in the business. com- munity to warrant any suspicion that they would inten: tionally violate the law of wiltully fai! in discharging the trust imposed upon them as such directors.. And sul the Attorney General is not convinced by the able arguments of the counrel for the ‘company that it Las not wanscended in severa! respects the power which the company possesses uncer its charter and the laws ot the State. At least there is so much doubt upon the question, that he deems it best that it be settled by the courts ase of the siock of the duffalo, New York and 1 pany. upon the aildavits the charge of the complainant tha re nuronass was made in the interest of directors is wholly disproved ; but the capitan! | General finds no au- thority under th charter or elsewhere authorizing the company t purchase the stock and give the notes of the company for it The counsel for the company in the ar- Guwent predicated the authority to purchase in the pro- vision of the act of April 3. 1867. chapter 24. That act rovides a method by which a railroad company hold. fag a or railroad under lease may absorb the leased road by exchanging stock, but it gives no right to one a to pure! the stock of another company. Although It may be oubttul wheiber the Erie Railway Company is subject to the prohibition in the general railroad act, making it unlawtul for one com- any to use its funds in the purchase of stock In another corporation, yet it,comes within the general statutes of the State restricting CU aeleie to the exercise of powers expressly granted or necessary to the exercise of those powers. Second—In regard to the purchase of coal lands or stock in coal companies, another grave question arises us the power of the company. The counsel tor the com- pany iu his argument claimed to find ue power in the rie Railway Company as the successor to the Liye franchises and privileges originally granted to the Hud: son and Delaware Railroad Company, The Attorney General has not been able 10 satisty himself that the Erie Railway ect any such | authority from that source. the “power be implied. ‘As coal isan article of merchandise to be found on sale fn afl ptaces of any importance, it is not necessary for 4ne purpose of the leitimate business of the road that it should mine its own coal. ‘Third—As to the power of Great Western Railway, the Attorney found such power in the charter or ihe statutes of the State. ‘The act of 1959, chapter 2is, makes it lawful for oue poration io contract with another for the use of their respective roads; but the general power of one company to lease and take the entire management and control of the road of another corporation ts clearly not foand in this act Itisis true thet in the case of Lisher vs. New York Central and Hudson River Railroad 46 N. Y. 644, ihe Court of Appeals assumes that a contract made under that act was a lease; bat it is manifest that the question was only rat incidentally, ‘and Was not argued or carefully Conside! e road claimed to have been leased to the Erie Railroad te the road of a foreixn corporation lying ‘most of it outside the State and outside of all allegiance to the laws of this State. That a domestic corporation may lease and run a railway in another State raises « serfous question of corporate power, which should be de- termined by the courts as speedily as may be. ‘As to the matter of the dividends the allegation of in- tentional wrong on the part or the directors ix disproved. Still the Attorney General is not satisfied that the con- dition of the finances of the company were such as to authorize the dividends in question. if that was the only question he should not be inclined to commence proceedings for that cause alone, There are other points suggested wherein It is claimed that the company have exercised powers not possessed by it, which are not necessary to be examined now, as questions already ex- amined Are sufficient to authorize the commencement ofanaction. They may, theretore, be properly tor the courts to ‘Without an elaborate argument, but simply iving his impression, the Attorney General is of opinion fiat come of the conc the company raise se- rious questions of corporate power which should be de. termined by the coarts. ‘As the directors have acted in good faith the manage- ent of the business of the corporation may sately be f with them pending the litigation. The Attorne ment of an a ‘neral has not 2 ton, will feel it his duty to see that the pro- coedin 1 be conducted so as to occasion as litle In- convenience to the basics of the company as possible. ANIEL PRATT, Attorney General, THE MONTOLAIR RAILWAY TROUBLE. Amecting Was called and heid on Wednesday Might in Montclair for the purpose, as announced, of expressing indignation at the conduct of Mr. J: A. Pratt in stopping the running of the road in eonsequence of an unsettled claim of nis of over $5,000, Instead of expressing indignation the meeting came near indorsing Mr. Pratt, apon finding out that he was nov fighting the road for himself but for others, and for the great principle of making railroad corporations yield the point that people have some rights which they are bound bo big hy Resolutions were oifered condemn- ing Mr. Pratt, but were tabied.
