8 ) NEW .YORK HERALD, SUNDAY, JANUARY I, 1874.-TRIPLE SHEET. THE MUNICIPAL SQUABBLE Opinion of the Counsel to the Corporation—Mr. Wade, Republican, Declared President Still—The Why and the Wherefore— Why the Legislature Passed the Act to Keep the Elected Presiding Officers. Last Tuesday, the 6th inst,, among the details of the session of the Assistant Aldermen there ap- peared in the HexaLp 4 legal opinion by Mr. E. Delafield Smith, Counsel to the Corporation, ad @ressed to Mr. Wace, the incumbent President, giving bis reasons, in parsuance of the provisions of the charter, why he could not be legally de- posed as presiding oMcer of the Board, ‘rhis opin- Jon the majority refused to have read; but nearly every newspaper published the- same. Mr, Smith ‘wound up ols letter to Mr, Wade, stating that, “owing to the short time he had in looking over the subject, he could not give it the attention mecessary, and at a future period he would make a stricter search, and, with more care, analyze the Jaw in every detail.” Yesterday His Honor Mayor Havemeyer received ‘the following communication irom Mr. E. Delafield Smith on the same suvject :— Law Derantwenr, Orrice oF 1) Gounsn. ro Tux Conronation, | ¢ ‘New Yous, Jan 9, 1874. See Pesan F. Havenzyen, Mayor of the City of 81n—The opinion given by me in obedience to the law. fal payee of the "3 President of the Board ot Aldermen» is upon & subject or such _ etn importance that have deemed it my to re-examine the question, and to give to Zee 28 our chic macistrate, the grounds of my con- mM, especially as my attention has been called toa fact, by some deemed aie wi not then laid beiore me. ‘that tact is that Mr. de Was cvected President Wy S resolution expressing ih President tor the year 1873: ai fore, the Board is not prohibited from electing & presid- place at the expiration of that year. itis conceded that the present Board of Assistant Al- en, eected in November, 1872, is established as a municipal legisiative body during 1873 and 1874—the two years for which its members were chosen. This Proposition will be iound sustained upon examining t eatutes ‘a conse betore the pamees of the present ch: And such is the plain legal inference from we sec- Ghd section of the charter itself, whereby the,“ “board of Assistant Aldermen iy aboushed trom and ater the first ay of January, 1875.” Tn January, ia, Mr. Wade was elected President tor that year. On the 30th of April following the charter Decaine a law. Our municipal legislatures, dubke that of the AE ee Dossess nO constitutional power of or- hey are governed by laws enacted Tee Tints ‘Legislature, abd are’ to be. presided ‘over as those laws may direct. They may be leit to @ president without or with restrictions, or the Nature might give them a president in the person of gone oticial not a member of the Sage Tn some cities, for instance, th or wee gficio the President of the Common Cou The first subdivision of the sixth section of the charter is as toilows:—“bach Board shall choose a president from its own memvers by & call of the names of the ‘members of the Board, upon which call each member ! announce his choice, and when once chosen he can be removed before the expiration o: his term as Alder- man or Aseistaut Alderman only by a voie, taken by a all of yeas or nays, of tour-filths of the members of the Board vt which be shall have been cuosen president.” ‘The legislative history oi (its provision is as follows : ‘Tt was iuserted in the bill Rmeananeousy. with another Provision contiding the appomtpent ot the principal ex- Sculive officers o| the city government to the Mayor and the Presidents ot the two Boards—namely, Mr. Have- — er, Mr. Vance and Mr. Wade. And the object was to bit a mere majority of either Board trom changing pereonncl Of Whe appointing Board during the two ears for which the Common Council was elected. ‘Ihe question is whether this intent was made efecinal to re- tun Mr. Wade as President of the Board ot Assistants for those two years unless superseded 6 sour-tiths voie. The change in the section as to the appointing wer Was made without altering the provision relauug ‘the official terms of the Presidents of the Boards. ‘This provision o1 section 6 Ihave quoted in tull. The subdivision of the same section is:—“This section, however, shall not be construed to require or authorize S reorganization of the existing Board of Aldermen or Board o: Assistant Aldermen.” These words could have Ro possibie object but to exempt the Presidents whom the charter found in office from the risk of supersedure by new ciections. A reorganization is probibued. And S zeorganization of what? The law answers, “of we * The Board of Assistant Aldermen isa vody Berg, jegal existence from January, 18/4, to January, be charter found it organized. it shall “not be Feorganized.”’ And this prohibition is not limited to the a Is cannot be reorganized at all, nor at any oat it is urged that, as Mr. Wade was elected President 1873, his tern as siich has expired, aud it is not reor- Fenizing, dut sims) ay organizing to elect a new President, ‘is begs the question. If the charter continued him as President tll the close of his term as Assistant Alderman (January 1, 1875) it fs immaterial for what Retest term he wis originally elected. In point of and of law, he was so elected at the will or the But for the new charter a majority could have dere posed him at any tine and elected a new président in lace. His term as President was thus only at the ‘of the Board, had been mentioned and he had been elected simply as President of the Board. It is true that but for the charter he would go out as President at the end ot 1573, for which year he was elected President But eburter" declares, im substance, there shall be no reorganization of the Board. Yet if Mr. Wade goes aut as President while the Board exists, the prohibited Feorganization becomes # necessity which it would be wareasonable to suppose the Legislature would prohibit. But, secondly, itis c.aimed that to elect a president in 1874s simply an organization and not a reorganization, Decause Mr. Wade's presidential term has expired with the year 1873. This beys the question eg: ‘And more- over, the Board oi Assistant Aldermen, existing as such from January, 18/3, to January 1875, is one single un- Board, which, Ing been once organized by the election of 4 president in not be again organized without being r ds Seorganization is plainly prouibited by the last sabdi- Mision of section 6 An ‘election of anew president in 1874 is ag unquestionably a reorganization as Would have been an election of a new president in 18/3. ted that the clause in section 6 that each hail choose 4 president is pugatory if presi- Gent, as elecied before tue enactment ot the charter, re- * mains such during the entire exisience of their respec- tive Boards. The answer ts twofold. That provision, if ‘warepeaied, will ayply to all tucure Boards or Aldermen Jeng aiter this Board shall have ceased to exist in Janu- i 1875, And as ‘o the Board of Assistant Aldermen, ot jon itis true there will be none at alv after that dite, Clause In question would operate If the office of president should become vacant 1m either ot the two years by death, incapacity or resignatiou. ‘There are those who claim that the words, “and when once chosen he can be removed” only by a “four-fiiths” vote, apply to president to be elected atter the enact- meni of the charier, and not to the one which the charter found in office. In other words, the Legisiature, having public knowledge that two known and reputable nen ‘were in office as Presidents of these Boards, leaves them to be removed by a mere majority vote, and is at the game time carein! "to pronibit, the removal, except by a ‘afths vote. of any unknown president who might in future be chosen. Such a construction is forced, techni- cal, artificial; its absurd result retutes itself, and’it is not consistent with any intent which the Legislature can be imagined to have had in view when, by the first sub- ivision, they restricted the removal of a president and im the last subdivision prohibited any reorganiza.ion , Just ae it would have veea if no time ‘whatever. The words ‘and when once chosen,” to the end of tho subdivision, stand vy themselves, except as a grammati- eal construction requires the Supply of implies ase of some words previously employed. “The clear mandate “and when once chosen he (namely ‘a president’) can Be removed belyre the exyiration ot his term as Atder- man or Assistant Alderman only by a vote taken by acall of yeas or pays of four-titths of all the members ot the Board of i shall have been chosen president,” The words "when chosen” are broad, anu leave the fime when so Chosen iminaverial. And the words “the rd of which he shail have been chosen president,” reier in very positive terms to a past choice, and not, ex- cept by inierence, to a future one, walt ieclear to my mind that Mr. Wade ts President, of the Board of Assistant Aldermen, and that, unless dis- qualited by death or disease, he niust remain such antl Ist of January, 1875, if not removed by # vote of tour- Miths of the elected mempers. The partisan a: “go tof the subject is regretted, It is my uty to disregard such considereions when advising my fellow oificiais in the govers of the city, and my Usefulness would be impaired i 1 should even seem to be goininenced. Upon several occasions, notably in the ease of the election of a civil justice in fhe annexed towns of Westebester, my official advice has been such as to conspicuously forbid such an impwation.
