2 FINANCIAL ANQ COMMERCIAL... ‘Tuvasvay, Nov, 96 P.M. The stock market continued unsettled today, considerable irregularity in prices. At the early session of the open board New York Central closed at 9834, Erie 98%, Reading 114, Michigan Southern 753, Cleve- land and Pittsburg 93, Northwestern 32%, preferred 06%, Fort Wayne 103, McGregor, Western 273, Toledo, ‘Wabgsh and Western 5434, Ohio and Mississippi certifi- cates 293,, Canton 454g. At the first regular board Erie closed 14¢ lower than at the second board yes- terday, Hudson River %, Reading 5, Michigan Southern 134, Cleveland and Pittsburg 8, Alton and Terre Haute 1, Fort Wayne 3, Canton %, Oho and Mississippi certificates 3. Now York Central was 3¢ higher. Northwestern preferred, Toledo, Wabash and Western and Quicksilver were unchanged. Atlantic’Mail sold at 140. At the annual meeting of the latter company, held to-day, the following gentlemen ‘wore elected directors for the ensuing year:—D. B. Allen, L. G. Wheeler, Jr., Jas. H, Banker, C. K. Gar- vison and T. F. Secor, Government securities con- tinued dull and slightly depressed. Five-twenties of the econd issue (1864) sold at 1003, against 100% yor terday. Seven-thirty notea were steady. After the call prices submitted to a further decline, but subsequently rallied, and at the open board at ono o'clock Erie recovered from 92% to 04, New York Central from 97 to 9734. Michigan Southern advanced 0 7734, and Cleveland and Pittsburg to 9334. At the second board the market was firmer, and Michi. gan Southern and Pittsburg, under the operation of their Tespective cliques, were strong. The former closed 214 higher than at the first board, and the latter 3, Erie 1, Reading %, Fort Wayne %, Northwestern preferred 3, ‘Ohio and Mississippi certificates 4. Rock Island was 34 lowor, Canton }. Now York Central and Toledo, Wa- bash and Western were unchanged. Prairie du Chien sold al 150. Government securities were further depressed, in consequence of sales on account of country banks whose necessities compelled them to do so to keep their ac- counts good at this centre, and also of apprehensions with regard to the relations of this country with France and Mexico, It is generally understood, hcwevor, that although the subject of thesefrelations was gravely dis- cuased at an unusually prolonged sessiun of the Cabinet on Tuesday, it was decided that no serious action should be taken by the government pending the meeting of Congress, when the question will doubtless be brought prominently before it for deliberation. Meanwhile it may, it is surmised, be diplomatically intimated that the sending of more French troops to Mexico will not be re- garded with favor by the United States, In Wall street the probability of our foreign affairs taking an unfavor- able turn is regarded by most persons, however, as very remote. Coupon five-twentics of the second issue (1864) were % lower, selling at par. Asale of tho third issue (1865) was also made at par; but on the strect previously the last were quoted at 99% a %. Seven-thirty notes of the second series experienced a further decline of 3, selling at 96%. This weakness of the government list encouraged the ramor that another funding loan was about to be placed on the market, but there was no foundation in fact for it. Mr. McCulloch does not intend to do anything to disturb the existing condition of affairs till after the sense of Congress is taken upon the subject of the finances, At the open board at half-past three the market was dull and nearly steady. Eric closed on the call at 937%, New York Central (8. 10) 97, Hudson River 106%, Read- ing 115%, Michigan Soutnern 764, Cleveland and Pitts- burg 95%, Kock Island 107%, Northwestern preferred 66%;, Fort Wayne 10334, McGregor Western 2634, Toledo, Wabash and Western 6354, Ohio and Mississippi certificates 544. Afterwards, on the street, the volume of transactions was limited, and the market closed dull but steady, At 5:20 P. M: New York Central was quoted at 98, Erie 9434, Michigan Southern 765 a %, Cleveland and Pittsburg 953 2 96, Reading 115%, Hudson River 1063¢ 9107, Northwestern preferred 664g, Fort Wayne 1033;. There was an active demand for money on the Stock Exchange to-day, and lenders showed more discrimina- tion in the choice of collaterals. Good houses were, however, promptly accommodated, on first class secu- rities, at seven percent. The distrust of the highly in- fiated fancy stocks is on the increase, both among lenders and operators, owing to the manner in which Prairie du Chien has been cornered. ‘The injunction granted by Judgo Sutherland restraining the President and directors of the company from converting the proferred stock (authorized on the lease of the Mc- Grogor road) inta common has been much commented upon in the street. The representatives of the McGregor Weatern Railroad, which was leased by the Prairie du Chien Company last March, threaten an action for damages against the cornering party, in whose favor the injunction was granted, for the difference between the present and some future price of the common stock, ‘after the corner is dissolved, on the amount of about half a million of stock. Article 20 of the lease inden- ture says:— It ts further understood and agreed that the party of the second part (the McGregor Western Company) may — its second proferred or common stock instead of its ferred stock for all or any of the purposos for hic in this agreement the issue of first preferred stock is mentioned, and that all and singular the pro- visions hereof in Tespect to using th the earnings of the sald railroad, to retire such rred stock or to pay in- torest thereon, shall ay Pad to the said second preferred or common stock, provided, always, that such second pro- ferred siock or common stock shall not be used for such purposes in the place and stead of first preferred stock, — it can, on issue, be sold at par for cash in New ‘orl A general idea of the terms of the lease of the McGregor ‘Weatorn road will be obtained from article 1 of the same indenture :— This contract shall continue and be in force and ope- ration for and during the period of nine hundred and ninety-nine years from the time of taking possession thereunder val re — oat mong i mes a gee extending w e tsaippl Fiver, of wi ich sixty miles forty Biles, exter from the Mississippi river to the State of Iowa, shall be taken pos- session paths iidtaa, Jesent to’ chis éoutrhct by a ae- jority of each Class in interest of the stockholders, of ~ the second (the beg by Company), an ie written esent theteto of the bor ndholders of ‘he be y of the first part to the amount of $850,000, as ape. ci. in the seventeenth article of these presenta; and Saw sion of the Seine por sods of the sei of the suid railroad, aty miles weatesly Decorah, shal! be given when the same shall be completed and roady for use and operation, according to the contract for the con- spay thereof heretofore made by the party of the pee ye i tow fody a du Chien i lads with the Iowa Rail- he panty of the Gr my rat part shall, 80 far as the same may be practicable, obtain the assent and a) al of the holders of the bonds aforesaid to this agree! shall cause the holders of bonds so assenting and ap- Proving to signify and legally evidence such assent and approval by an endorsement or other proper and sufll- cient memorandum thereof to be made upon said bonds; ‘and holders of said bonds to the amount of $850,000 shall assent as aforesaid before this agreement shall take effoct; and no issue of bonds shall be hereafter made by the party of the first part except subject to this agree- mont. ‘The cornering of the ‘Prairie Dog’? common stock (se seversiy deprecated by the most reputable members of the Stock Board, and it is expected that it will remain a dead weight in the hands of the clique. The earnings of the road are de- Croasing, and there is nothing im the present condition or future prespects of the road to warrant the stock selling above forty, One firm settled their contracts in the ‘stook by paying $125,000 to the clique on Tuesday; but nother house has defaulted on ite contracts, with a view, it teeaid, of legally contesting any claims arising therefrom which may be brought against it. ‘The gold market was barely steady. If they are allowed to circulate by and by we will not be able to distinguish the spurious from the genuine, and therefore it now behooves Mr. McCulloch to protect ail his issues and see to it that the people have a sound ourrency beyond the power of debasement or counteMeiting.
