Quotutions generally compared with those cur- vent on Saturday, exbibit a eight decline, and there was very little disposition on the part of speculators to ope- wate either way. At (he first Board, Harlem fell off 1; percent; Erie I. R., ';; Reding R. ., 1s; Norwich nd Worcester, 2. Canton Co. advauevd %{ per cent; Morris Canal, 14. ‘The receipts at the office of the Assistant Treasurer of this port, to-day, amounted to $128,334 63; payments, $65 790 90—balance, $1,237,131 03. ‘The steamsbip Franklin, from Havre, brings four days Jeter intelligence from all parts of Europe, The news, in acommercial point of view, is of an unfavorable cha- vacter. Quotations for cotton have found a deeper depth, end there was so little doing among the trade that it ‘was a question if the closing prices could be maintained. Breadstuffs had declined, in consequence of the favor- sble appearance of the growing creps. We have no ebange to report inthe money market. The bullion in the Bank of England was steadily increasing, which is ‘the only encouraging feature in the advices by this “THe Hartford, Providence and Fishkill Railroad Com- pany have declared a dividend of five per cent. The Delaware and Raritan Canal, and Camden and Amboy Railroad and Transportation Company have declared a eemi-annual dividend of five per cent, payable on the 17th efJuly. The Augusta, (ta.) Insurance and Banking @ompany have declared a semi-annual dividend of four dollars per share, payable on demand; the Mechanics’ snd Traders’ Bank, New Orleans, a semi-annual dividend of four per cent, payable to New York stockholders on the Ist of August; the Bank of Kentucky, a semi-annual @ividend of four and a half per cent, payable at the Bank of America on the 17th of July. ‘The transfers of U. 8. stock on foreign account, made @uring the week ending on the 11th of July, were as fol- Jows :—Loan of 1847, $257,000; loan of 1848, $31,500—to- tal, $288.500. This unusual amount of transfers is ex- plained by the fact that the books were only re-openc on the Ist instant, and that but four days of the preced- ing week were devoted to the large accumulation during the entire month of June. when the books were closed for the preparation of the sem{-annual dividends. We understand that the debt of California, amounting to $500,000, bas been funded, and bonds bearing interest at the rate of seven per cent per annum, payable semi- annually in the city of New York, redeemable in five and ten years, have been issued. A direct tax has been le- vied for the purpose of paying the interest promptly, and the State agent will soon be here to perfect the arrange- ments necessary Qearry this act into operation. The trustees ¢ Ythe Bank for Savings, Chambers street, will pay an interest, to be paid to depositors, of five per cent per annum for the last six months, ending Jet inst., on al sums amounting to five and under five bandred dollars; and an interest of four per cent per appum on all sums of five hundred and upwards, pay- ‘able on and after the third Monday of this month. In- terest not called for will be carried to the credit of depo- sitors as principal. The aggregate amount received for tolls on the New York State canals, from the commencement of navigation to the 7th of July. 1851, inclusive, was... $1,211,678 89 Bame period in 1 _beR,062 90 Increase in 1851.. aah “p2i0,015 99 At the same rate of increase ‘throughout the season, the aggregate receipts at the close of navigation will not fall far short of the total of 1847. The Harlem Railroad Company have declared a semi- annual dividend of two per cent on the old capital stock, out of the net earnings of the six months ending June 20. The earnings of the company have been large enough to warrant the peyment of a larger dividend; and the Board of Directors must have reverved great sur- plus for purposes best known to themselves. If they wish to depress the market value of the stock by making mo inerease in the rate of dividend, it may be well enough, so far as they are concerned, and enable them to get all the stork they want at lower prices; or if they wish a larger surplus to their credit in any Wall street bank, for any other purpose, they may accomplish the object they have in view; but all this comes out of the pockets of the stockholders, and they have no redress. ‘The laws of this State are very defestive on this point. The board of directors, in all our incorporated compa panics, have absolute control over the financial affairs ‘apd operations of each, and the stockholder have no voice in the matter, except at the elections, In the New England States, the stock- holders have a voice in every movement, and at the Bnnual meetings, accept or refuse, as the majcrity de- sides, the amount of dividend fixed by the board of @irectors. Here the rate of dividend is fixed by the di- rectors, from whose decision there is no appeal. The ‘abuse of this power is #0 palpable in the management of the Harlem Railroad, that the stockholders should avail themselves of the first opportunity to provide for a bet- ter protection of their Interests, and place in power ‘who will give them the benefit of the profits of the com- pany. The annexed statement exhibits the gross income ‘and expenditzres of the Harlem Railroad Company, for the firet six months of 1851:— New York ax Harte Rattnoan. Surplus in hand... . r Ttappears by this that the: company ‘had in hand on the ‘lst of July, 1851, @ surplus of nearly forty-one thousand dollars, after paying all dividends, interest on debt, and al- lowing fifty per cent of the gross receipts for running or ‘operating expenses. The company could hays paid a semi- ‘annual dividend of three per cent, and had « surplus in hand of sixteen thousand dollars. The gross receipts of this company in 1849, were $419,000, out of which the ‘directory declared and paid a dividend of four per cent In [800 the gross receipts were $490,000, and the direc- tors paid a dividend of four percent. In the first six monthe of 1801, the gross earnings were at the rate of $620,000 for the year, and the directors have declared a semi annual dividend of only two per cent. Now, in view of these facts, one or two things is pretty certain— either the dividends in 1549 and 1850, were aot actually arned, or the dividend just declared out of the earnings for the first six months of 1951, leaves a larger surplus im hand than our calculations above exhibit. Taking the grove earnings for 1550, and applying the same calew- lation in relation to expenditure, &e., and we have th, aanexed result — Kron receipts for year ending Dec, 31,1851... $430,000 Operating expenses, 245,000 Net earnings $245,000 Dividend on preferred stock 8 per cemt $120,000 Dividend on old stock, 4 per cent 96,000 Interest on debb.....0)0.0... 15,000 Surplus in bend me ne $14,000 ‘This settles the question relative to ‘the dividend out of the net earnings for 1850. On the Sist of December, there was a surplus on hand; we have therefore no fault to find with the management for the smail dividend that year; but the fact that they had euch « surplus in hand, Derides the surplus of the year previous, makes it more criminal on their part in depriving the stockholders of their just dues. The only loophole through which the Board of Directors can escape condemnation ia the in- tention to make the dividend for the year 1851 the full rate expected by the stockholders, to pay four per cent out of the net earnings for the last cix months of the Present fiscal yeor. Such we trust is their determina- tion; and for the purpose of showing how the eccount will stand at the close of the year, we annex an estimate of earnings and expenditures:— New Yoru avy Hanuemt Ry LROAD. If we had only provided for a divi- dend on the old stock of four per cent for the year, the eurplus would be increased $48,000, mtx king an aggregate Of $86.00. All these calculations and eatimates confirm and strengthen the opinion we long ago formed relative to the productivencss of this important work. The di- rectors have no exeuse for not declaring « sem!.annual dividend on the let of July, of three per cent.
