resolution by the proceedings of the bowrd of Ist April, 1860; and such latter proceedings were there- fore wholly void aud inoperative, the directors having power after the acceptance of the act by the stook- holders, but as agents to carry into effect the provi- siome of said act, and after said act of acceptauce the shareholders could not recall it; and it isa question Of legal and moral right for any stockholder, to have ‘wansferred for value a full share, after having “as- sented” that it had but one-fourth of its nominal worth, and it is difficult to conocive that the directors of the company would have tolerated it. The acceptance of said act by the stookholders, and the subsequent resolutions ot the board, im pursuance thereof, amounted in law to a contract between the subscribers of the preferred stock and the company, that the stock sheuld be reduced; which contract can De enforced in acourt of equity; and toe summary Temedy ofsuch subscribers or holders of the preferred stock would be to file « bill in Chancery, asking fora fulfilment of the contract, and in the meantime obtain- ing an injunction staying a transfer of any of the old shares of stock until the process of consolidation is perfected, and to restrain the old stockholders from voting on said stock at any election of directors; or upon a representation of the facts to the Legislature of New Jersey, now in session, a remedy no doubt id be afforded, for the case seems to call for one. ‘The legal remedy, however, is perfect; for after the acceptance of the act of 9th February, 1849,n0 more than 10,250 shares could be recognized, and no greater mumber of old shares could be represented in the management of the company, and any act or transac- tion of the company, founded upon a representation, in a stookLolders’ meeting or other wise, of a greater num- ber of shares than last mentioned, would be wholly legal. Wasumerton, Jan. 24, 1861. The Day for Private Bills—Col. Benton’s Defeat —The Presidential Electron. This is private bill day, and the numerous cases of long delayed and neglected action on the part of Congress, ery aloud from the clerk’s table, and from the reading clerk’s lunge for justice, over a week. But alas! the cry is not heeded, to any great extent. There is a generad antipathy to pri- vate claims, and it is often the case that claimants expend double the amount claimed ia the prosecu- tion of the cldim from year to year. A remedy should be proposed and adopted by Congress, to meet the increasing demands upoa the government, from individuals, who are now required to present themselves in the double and anomalous attitude of creditor beggars. Col. Benton is beaten in Missouri, and the justice to Benton will be raised, as it was for Buren, is now for Cass, and will ever be by those who love men and the spoils of office more than Sie ciple and the institutions of thearcountry. Col. * ton issued his imperial edict, to give no quarter, and advised the election of a whig rather than ene | posed to him. The Tarif—French Spoliatwns—New Senators— Col. Benton’s Future Projects—Important Con: cerning Haytr. We suspect there will be nothing done for the tariff this session. From Pennsylvania, from New Jersey, Massachusetts and the other New England States, we have had, and still have, a considerable delegation of lobby members in behalf of some amendments of the act of ’46, for the benefit of manufactures. The subject has been submitted in the bill of Mr. Winthrop, to the Finance Commii- tee of the Senate; and the House Commuttee of Ways and Means have also had the subject before them. They have been consulung upon reducing the duty on certain raw materiuls, and of increas. ing the duty upon iron and coal; and the advan: tages of specifics and home valuations, have also been laid betore them; but Mr. Bayly is a free trader—the majority of the committee are friendly to the act ef ‘46. The committee have not re solved upon anything; and the most that we can. expect is such modifications as shall prevent the frauds practised under the act of 1816. The probabilities, indeed, appear to be, that from the difficulty of any compromuse oa this important sub- ject, the whole thing will go over to the next Con- gress. The administration are dog what they | Can; but the majority im both houses 1s apparently | averse to touching the tanff this seasion, except + | far as may be absolutely necessary to the observance of the law us it stands. And even in this respect it ie likely that nothing will be done. The time is short—the subject is important, and no material changes of the act of '46 can be expected this session. It is barely possible that some com- promise between rivere and harbors, grants of pub- lic lands, and the tariff, may be hit upon, but we do not expect it. We have but little hope of Freach Spoliations in the House, and the Treasury will not suffer if the bill falls to the ground. A strong effort, is, how- ever, to be made to push i: through. During the present session a considerable change has been made among the members of the Senate; and at the next Congress we ehull have quite a re- ctable number ot new members on the floor. he most remarkable case of all these, is the election of & whig from Miseouri, in the place of Co}. Benton. The defeat of Mr. Benten starts the question, what will he do t—for it is not Supposed that he is going into a state of “ retiracy Some think he will take the track for the Presidency. His con- fidential friends say no ; and that he adheres to hie answer of twenty years, to all Propositions on —_ subject — refusing in toto. A return to Ce from the St. Louis district (ia which a whi lately been elected) is proposed to hin, an opening comes tor the Senate; and to that he mekes no objection, as we are informed, leav- ing the matter inthe hands of his friends. But he has ar object, of which he makes no secret, and which may occupy him for years; and that it is to prepare his epeeches, with notes and illustrations, for posthumous publication. In this way. he expects to make up a pretty complete political erin (and an inside view) of the coun- try for the thi years in which he has been ia the he nited States ate. Reports having been sent from this city that the Committee of Waye and Means had agreed to certain modifications of the existing tariff, it is, perbaps, proper to say that the chairman of that ' committee, General Bayly, denies that the sub- ject hes yet been brought before the committee this session, and that, consequently, all the re, ports of any agreement oa their part to any change in the tariff, are wholly unfounded. But although the commiltee have not yet considered the subject, it has been ascertained that a majority of its mem- bere are in favor of adopting some plan by which the enormous frauds now perpetrated shall be peed.
