We stated on Saturday, that the main arguments ad vanced by the applicants for readmussion into the Board of Brokers, was that the rules of the board had been set aside on a former occasion in faver of those short in Morris nal stock. Without going into a detail of that famous lubble, we may briefly state the general features of the case. In making time sales of stock, the operator sup- poses he will beable to purchase it before the maturity of the contract, at a price something less than that whieh he sells ; the buyer supposes that it will rise, each taking his whance of the market. This is a fair contract, although net one allowed by the sagacious law makers. When, however, a certain number of men holding the whole stock of a company, enter into’a solemn [pledge to each other not to sella share at any price without the assent of the whole, and then go into the market and buy ontime to any extent, using every art and inducement to make othersto sellto them on time, bidding very high above the market price, knowing that they cannot pro- cure the stock, the thing becomes a conspiracy to defraud. ‘When these sellers are fairly in the trap, and fbegin to make purchases fulfil their contracts, they find the stock cannot be got. The holders then come forward and demand prices regulated only by the wealth of the party short. He must fulfil his contract or fail. If he is short 1,000 shares, and is worth $100,000, he must pay it all. ‘This was nearly the case in Morris Canal, a majority of the brokers were short, the holders of the stock inexora- ble, andthe stock was already 200 per cent. In} this posi tion of aftairs,the board passed aresolution to the effect that these contracts were founded in fraud, and, therefore, that the parties were not bound to fulfil them. Many of them, however, paid large differences, some $5,000 and others $20,000. Those thus rejected, are forming themselves into a new board to ‘set with open doors, and endeavor to get as much business as they can, but it does not appear that thetwo beards “an interfere with or rival each other, It draws all those who have failed into one class, and all those who are still responsible intothe other. The position of the present board and the state of the times, makes it indispensable that they should adhere tothe rules, and rigidly enforce contracts. On the other hand, those who have failed in their contracts, cannot sit still. The Go- vernor stated in his message, that the law authorising the increase contained a proviso that the debt should not be carried beyond the process of the sinking fund; and that in consequence all the stock authorised was not issued.
