Gilchrist, Governor of the State of Florida, at Tallahassee, Florida, on the 29th day of August, 1912, or as soon there- after as he will hear the same, for Letters Patent on the proposed Char- er of the Lakeland Hospital Com- pany hereto attached. Company and adopt the following charter for the government of said Corporation: . Article One NAME. AND LOCATION.—The name of the Corporation shall be the LAKELAND HOSPITAL COM- PANY” and the principlé place of business shall be at Lakeland in the County of Polk and State of iMorida, with the right to establish other places of business in the State of Florida or in other States of tha United States or in foreign countries, Article Two. GENERAL NATURE OF THE BUSINESS.-—The general nature oi the business of this Corporation shall be to own and operate hospitals and sanatoriums; .to conduct hospital treatment for medical and surgical cases; to supply board and lodging, nurses and attendants, for persons in need of same for hire; to own, centrol and operate operating rcoms; to own and operate ambulances for hire or charitable purposes; to :m- ploy nurses, physicians, surgeons, at- tendants and any and all other per- sons necessary to properly conduct a hospital; to buy, lease or otherwise obtain real estate and personal prop- erty, to own, encumber, to sell or o\herwfse dispoca roeal estate and personal property, to construct all tuildings and other fixtures neces- sary for the conducting of a hospital or sanatorium purposes; and to 'do any and all things necessary for (le proper conducting of a general hos- pital and sanatorium business. The officers of sald Corporation shall hold the offics for the term of one year or until their successors are duly chosen and quolified at the regular meeting on the first Tuesday after the second Monday in January of each year; provided however, that if said offi- cers are not chosen at the regilar annual meeting, they may be chosen at any subsequent, call or regular r.ecting, and shall serve from the time of their qualification. Until the first annual meeting of the said Cor- peration, the following pérsons shal! serve as officers of the said Corpora- tion, to-wit: C. G. Memminger, shalj be the President, W. D. Haynes shall constitute the Board of Directors. Article Six INDEBTEDNESS OR LIABILITY. The highest amount of indebtedness or liability to which this Corpora- tion shall at any time ‘subject itself shail be an amount not greater than the amount of the capital stock sub- scribed and actually paid in at the time of the contracting of said lia- kility or indebtedness, but that said Corporation shall have the right to increase said ‘ndebtedness at any time that the said capital stock shall be increased to make said indebted- ness equal! to said capita] stock at such time, : Article Seven SKAL,—Said Corporation shall have the right to keep and use a seal bearing whatever words, figures or emblem the officers may see fit to have thereon, which said seal shall be kept in the custody of the Secre- tary of seid Corporation.
