The undersigned do hereby as- sociate themselves together for the purpose of organizing a manufactur- ing corporation, and for that purpose have adopted and executed the fol- lowing articles of incorporation: Article I The name of this corporation shall be the Range Sand Lime _ Brick company. The general nature of its business shall be the manufacture of sand lime brick, and other brick, and all kinds of building blocks, and other building materials, and manu- factured articles,, and to purchase, own, hold, equip and operate the necessary lands and raw material, and to construct or buy the buildings, machinery and tools necessary to carry on said manufacturing; to sell convey and dispose of the manu- factured products; to extend the manufacturing business to other manufacturing branches; and to per- form @my other acts that may be necessary to promote the business. Article Il. . The principal place for the trans- action of business of this corpora- tion shall be in Pengilly, Minnesota, with branch offices of said company for the transaction of general busi- ness. Article II. The time of the commencement of this corporation shall be August 18th, 1910, and the period for the con- tinuance of this corporation shall be uirty (30) years from August 18th, 1510. Article IV. The names and places of residence of the incorporators hereof are as follows: J. W. BRAGDON, Minneapolis, Minnesota. ANDREW GRANDE, Virginia, Minnesota. ANDREW HAWKINSON, Virginia, Minnesota. J. H. HUBER Pine City, Minnesota. W. D. CROULEY, ‘Minmeapolis, Minnesota. — Article V. The management of this corpora- tion shall be vested in a board of five (5) directors, who shall elect a president, vice-president, secretary, treasurer and manager of the cor- poration, prescribe their duties, and who shall appoint such other of- ficers and agents as they may deem necessary. The office of secretary and treasurer may be held at the same time by the same person. The incorporators hereof shall constitute the first board of directors. Until their successors are elected and qualified the following named per- sdus shall be the officers of said corporation: J. W. BRAGDON, President ANDREW GRANDE, Vice-President. Manager J. H. HUBER , Secretary. ANDREW HAWKINSON, Treasurer. Who shall hold their respective of- fices during the pleasure of the stock holders, but not later than the first annual meeting of the stockholders, which shall be held on the 2nd ‘Tuesday in January, 1911, at 2 o'clock p. m., at the company’s of- fice at Pengilly, Itasca county, Minne- sota, at which time the board of directors shall make and establish all term of one year. The board of diectos shall make and establish all the by-laws, rules and regulations for the corporation. The officers shall be elected by the board of directors immediately after the board is elected at each annual meeting. Article VI. The amount of the capital stock of this corporation shall be seventy-five thousand dollars, which shall be paid in, in such manner as the board of directors shall provide. There shall be seventy-five hundred (7500) shares of ten ($10.00) dollars each. The board of directors may issue and dispose of such an amount of special or preferred stock under such conditions and limitations as it may deem advisable, provided such stock is made a first lien upon the cor- porate assets. Article VII. The highest amount of indebtednes to which the corporation shall be at any time subject, shall be seventy- five thousand ($75.000) dollars.
