Chorry, which will causo somo apprehension among those who havo beon invosting thoir spare earnings in lots in South Lyono. Drexel saya that i December, 1869, being the ownor of the north 14 of Sec, 19,39, 14, containing $20 acres, he mado o contract with Avo Vail ond Nicholas J. Vail, his son, since deceased, by which he agreod to sel! them tho above-mentlonod land for £168,(100, with intereat at G per cent por annum. Tho intercst, however, for tho firat year was fixed at $1,925. They agread to subdivide tho land and sell it at not tess than $600 on acro, and to tako at Jonat 20 per cent of the purchase prico in cash, Tho ‘Vails wore also to pay all expensos and special naseesments, to pay over all auma rocoived by them on sales, except 10 por cont, which was to ba expended in improving tho property, and to deliver to Droxol the contracta for deeds mado with purchasers, In caso the contract should bo forfeited tho 10 per cont was to bo considered ng the percentage or commission for gates, It was also agreed that, if the Vails should not, within the yoar 1870, make sales amounting to €40,000, or should not pay over 210,000 on cash paymonts, exclusive of tho 1 the contract should bo void, and Drexel should keep and own the menoy and contracta of unto. Moreover, if thev were not ablo to well 370,000 more of land in 1871, or pay over 21,000, inctusive of inter- cst, then also the contract wes to ceaso, and, evon though thoy kept their promises for 1970 and 1871, if they failed to mako the remaining parmonts so ns to fully pay for tho land and entitle thom to a deod, they gvould ho forectosed of their rights’ undor the controct. | ‘Timo was made an olement of the agreement, but It waa agreed that the ssid agreement should not ba put on rocord unless by coosent of tho partice, vor should it be aesigned except with Drexel’s con- sent, Under this contract. A. Vail & Son mado a subdivision of the property, culling it South Lynne, and offected a large number of sntca, Droxol giving contracts for decda to tho pur- chasers. In 1870, howovor, they found them- selves unable to make the payments aa thoy agreed, ond applied to Drexol for a modi- fication of tho contract, agreving to pay 7 por cont interest intend of 6. Droxol consented to tha proposed change, and it was thon agreed that if the esles for 1870 did not roneh $40,000 tho contract should not be forfeited, but tho Vails should bo allowed to iuake up tho doflconcy in 1871 in addition to the $70,000 duo that your. In case the cash pay- ments should not equal 811,825 for 1870, tho differenca botween thot amount and the ag- fregate cash paymonts should be paid in 1871, with 7 per cent interest. In 1871 Droxol charges that Aes Yail con- yoyed his interest in tho contract to his son, but has sinco takou part in muking satev ond mauogiug tho property up to tho resent time. In Octuber, 1872, the Vailas . again found thomselyes, a4 Drexel charges, unable to make tholr paymonts duo Jon. 1, 1873, and osked for au extension to Jan. 1, 1874, offering to puy 8 per cont on all amonnta then unpaid, Drexel acceded to this request, and affairs ent on smoothly, until August, 1873, when they asked him to "add another kinducsa to the many favora already bestowed," aud’ give them yet another year. This ho also gavo. Complainant now alleges that bo has not re+ ceivedin all one-half of tho purchaso-monoy ; that all bo bas recoived has been obtained from anlos of lots, and that Vail & Non havo not poid anything out of thoir own funds, and that they havo failed to uso the 10 por cent of the sales recoived by thom {in improvigg the property, but have expended it for théir own benefit. Droxel also charges that Vail & Son havo neglected to pay the taxos and aseessinents, uo that a largo part of tho property has been sold for taxes, thus eubjecting Lim to an expense of sevoral thousand dollars in redeeming: that N. J. Vail died in May, 1874, bopolesaly in- solvent, Joaving as lia heirs his father, mothor, and two ulnters, Complainant also charges that tho time for the performance of tho contract has long since passed, but that rome of the dofondante still claim some in- terest in tho land, and sre from timo to timo making sulea; that tho duplicate contracts made with tho purchasers have been left in tle ofico of Vail & Son, and that thoy or tho persons doing business under that namo have received targo sums of monoy on these contracts. Complainant therefore asks thatthe contract may bo cancelled; that the defeudants may bo enjoined from making gny moro sales or collect- ing any sums on soles alrcady made, or from trunsfersing tho contracte, and that thoy may bo compelled to account.
