McDonald and son, “John- nie,” of this city went to Northome last evening near where they will be engaged on a week’s cruising trip for the Bemidji Lumber company. -Dwight Miller, who is hunting near Three Island Lake with several friends from this city, telephoned in yesterday and said that the hunting is fine there. He reported that they had already secured twenty- five fine large mallards. Mr. and Mrs. John Patterson, who live on the shores of Lake Plantagnet, entertained Mr. and Mrs. G. A. Walker and Mr. and Mrs. T. J. Miller of this city at tea Saturday evening. The guests report an unusual good time. Miss Cleora Ramsdell of New Audurn, in the southern part of the state, returned home this morning after enjoying a month with rela- tives in this section of the country. Miss Ramsdell was accompauied by her little nephew, Master Charles Kirtland of Turtle River, who will spend the winter at het home. George Kirk of this city went to Northome last evening to look over the ground for the winter’s logging. Mr. Kirk expects to commence operations about the first of next month. William McCuaig, the local mer chant, went to Tenstrike last even- ing to look after his store at that place. Mr. McCuaig reports that his business at the “Strike” is doing very nicely. The bell boys at the Markham hotel in this city have been fitted out with natty new uniforms which are very becoming. The suits are of a marine blue material with black braid trimmings. R. H. Muncey of this city, a pioneer cruiser who has been in the employ of the Crookston Lum- ber company during the last twenty- five years, went to Blackduck last evening to estimate some timber near there for the company. The Presbyterian Ladies’ Aid society will be entertained by Mrs, Gracie and Mrs. Ackenbach, at the home of Mrs. Gracie Thursday afternoon at 1 o’clock. All the ladies are cordially invited and re- quested to bring their thimbles, Attorney James A. Kellogg of Min- neapolis spent yesterday in this city looking after the interests of clients. Mr. Kellogg is a veteran of the Civil war who was only fifteen iyears old when it was completed. He told several interesting stories yesterday about the war and said the South gave up the fight when they saw the North bring down a “bunch” of “kindergarten kids” like he had been when he entered the struggle. Mr. Kellogg likes Bemidji {very well and will visit here for a few days before returning to Min- neapolis. Blakely, the Farley logger drove in this morning and went out to his camps near Mallard to look after his lumber operations. George Stein, one of the good fellows of Cass Lake, came over from his home yesterday evening and spent the night in the city. Mr. and Mrs. J. E. Drury of Ten- strike came in this morning to attend the wedding of Mrs. Drury’s sister, Ange Floura to Holliver Hager of Tenstrike. Mr. and Mrs. E. D. Gray returned this morning to Minneapolis after enjoying a week’s visit at the home of their daughter, Mrs. H. A. Bliler of this city. Mr. and Mrs. E. N. French and little boy of this city returned this morning from Blackduck where they have been enjoying a week’s visit with relatives. Mr. P. T. Mr. Brevig, was here for the purpose of inquiring as to the fish laws and sent an application to the State Game & Fish Commission for a lic- ense to net whitefish in November. ARTICLE I. Section1. The name of this corporation shall he Northern Cedar & Lumber Company. Section 2, The general nature of its busi- ness shall be the purchase, sale, mortgaging and leasing of timber lands and other real estate, the manutacturing of lumber and any and all articles which may be manufactured or produced from wood and the purchasing and selling thereof at wholesale and retail, the purchase and selling of goods, wares and merchandise at _wholesale and retafl, the operation of cedar yards for the purchase and sale, at wholesale and retall, of cedar poles and posts, and to_do all acts necessary and incident to the carrying on of a whole- sale and retail lumber, cedar and general merchandise business. Section 3. Bhe ‘principal place for the transaction of the business of said corpora- tion shall be at the Village of Blackduck, Beltrami county, Minnesota. ARTIOLE II. The names and places of residence of the persons forming sald corporation are— Charles Trondson, residing at Blackduck, Minnesota. A. E. Witting, residing at Semidji, Minne- sota, {ohn Cann, residing at Blackduck, Minne- sota. ARTICLE IIL The government of said corporation and the management of its affairs shall be vested in a board of not less than three nor more than five directors, who shall be elected from the stockholders of said corporation at its annual meeting, which shall be held in the Village of Blackduck, Minnesota, on the second Monday in November of each year, and they shall hold office until their suc- cessors are elected and qualified. Until the first annual meeting of the stockholders ot sald corporation the following named per- sons shall constitute the Board of Directors of said corporation: Charles Trondson and John Cann, both residing at Blackduck, Minnesota, and A. E. Witting, residing at Bemidji, Minnesota. ARTIOLE IV. The officers of this corporation shall be a President, Vice President, Secretary and Treasurer, all of whom shall be chosen by the Board of Directors from the stockholders of said corporations, The offices of Secretary and Treasurer may be beld by the same person. Until the first annusl meeting of said cor- poration, and until their successors are elected and have qualified, Charles Trondson shall be President, John Cann shall be Vice President. and A. E, Witting shall be Secre- tary and Treasurer, ARTICLE V. The capital stock of said corporation shall be One Hundred Thousand Dollars, and the same shall be divided into one’ thousand shares of the par value of one hundred dollars each, Said stock shall be paid in as called fo{ by the Board of Directors of said corpor- atior ARTIOLE VI. The highest amount of indebtedness or liability to which said corporation shall at any time be subject, shall not exceed fitty ‘thousand dollars, ARTICLE VIL Said corporation shall commence on the 2nd day of November, 1008, and shall con- tinue for a period of thirty years.
